Join us!Job Description:This job is responsible for providing legal counsel and support to the Bank's Global Corporate and Investment Banking (GCIB) Enterprise Credit and Corporate Banking business on legal, regulatory, and commercial matters relating to syndicated loan products. Key responsibilities include reviewing and negotiating legal documents, including commitment letters, term sheets, fee letters and syndicated loan agreements where the Bank is a participant; preparing guaranties, and communicating legal advice to internal partners. Job expectations include managing and supervising outside counsel on related matters, and providing practical, risk-based legal advice on applicable laws, regulations, and industry developments to facilitate business growth, innovation, and the effective management of legal and regulatory risk.Responsibilities:Analyzes legal issues and implications on products, services, and regulatory matters related to the supported Global Banking businessesCommunicates clear, concise, actionable, and business-informed legal advice, including occasionally to leadershipInterprets rulings, laws, and regulations from a compliance and business control standpointDrafts, reviews, and/or negotiates complex legal documents, such as commitment letters, engagement letters, term sheets, fee letters and syndicated credit agreements, including cross-border transactions and legal opinionsGathers, assesses, and evaluates information from various sources with an open mind to make a judgment or inferenceSupports company responses to government agency examinations and investigations, enforcement actions, private complaints, and litigationDirects the work of outside legal counsel and may coordinate the work of other Legal staff and trains, mentors, or supports the development of peersPrepare and review parent guaranties for subsidiary obligations related to various loan productsCommunicates clear, concise, and responsive legal advice to Enterprise Credit officers and corporate bankersManages and supervises the work of outside legal counselCollaborates with Compliance, Risk, Legal and business stakeholders to identify and mitigate legal and regulatory risksRequired Qualifications:5+ years of law firm or internal counsel experience related to syndicated loan transactionsStrong organizational, drafting and negotiation skillsThe ability to communicate clearly, both verbally and in writing, at all levels within the organizationStrong work ethic and self-initiative, with the ability to manage a high volume of work in a fast-paced and changing environmentStrong interpersonal skills with the ability to work well as part of a team with other lawyers, clients and other risk and business support partnersThe ability to effectively balance risk and reward and to be a strategic partner with clients to help them achieve their business objectives with an appropriate risk/reward balanceActive U.S. bar membership in good standingDesired Qualifications: Meaningful experience related to oil and gas loansKnowledge of sustainable and green loansAbility and willingness to develop and propose constructive solutions, where warrantedSkills:AdvisoryInfluenceInterpret Relevant Laws, Rules, and RegulationsPolicies, Procedures, and GuidelinesRisk ManagementCritical ThinkingDecision MakingIssue ManagementLegal Drafting and WritingRegulatory ComplianceAttention to DetailCollaborationExecutive PresenceLegal Structures and Legal FormsProblem SolvingMinimum Education Requirement: Doctorate degree in related fieldShift:1st shift (United States of America)Hours Per Week: 40Pay Transparency detailsUS - IL - Chicago - 540 W Madison St - Bank Of America Plaza (IL4540), US - NY - New York - 114 W 47th St - 114 W 47th St - Ust (NY8114)Pay and benefits informationPay range$175,000.00 - $259,700.00 annualized salary, offers to be determined based on experience, education and skill set.Discretionary incentive eligibleThis role is eligible to participate in the annual discretionary plan.
