STRUCTURED FINANCE - COUNSEL ATTORNEYLocations: New York, NYHYBRIDOur client, a premier international law firm, is seeking an experienced Counsel to join its highly regarded Structured Finance practice in New York. This is an exceptional opportunity to work on sophisticated financing transactions involving securitizations, warehouse facilities, repurchase transactions, and other complex structured finance arrangements. The position offers significant responsibility, direct client interaction, and the opportunity to lead transactions from structuring through closing while collaborating with a nationally recognized finance team.Candidate ProfileJD from a top-tier law school with an excellent academic recordActive Bar Admission in New York, in good standing8+ years of substantive complex financing transaction experienceExperience advising on repurchase facilities, warehouse facilities, syndicated lines of credit, securitizations, and other secured finance transactionsDemonstrated ability to independently manage transactions from initial structuring through closingExtensive experience drafting, reviewing, and negotiating complex financing and securitization documentationStrong understanding of repurchase agreements, credit agreements, pooling and servicing agreements, private placement memoranda, indentures, offering documents, and intercreditor arrangementsIn-depth knowledge of financing structures supporting mortgage and asset-backed platforms preferredFamiliarity with servicing arrangements, collateral issues, and structured finance market practicesAbility to manage multiple transactions and deadlines simultaneously while maintaining meticulous attention to detailSoft skills: Exceptional communication, organizational, and interpersonal skills, with a strong work ethic and commitment to client serviceKey ResponsibilitiesLead and manage structured finance transactions from initial structuring through execution and closingAdvise clients on repurchase facilities, warehouse financings, syndicated credit facilities, securitizations, and related secured finance transactionsDraft and negotiate complex transaction documentation including financing and securitization agreementsSupport securitization and structured finance transactions across a broad range of asset classesAssist with warehouse credit arrangements and related collateral and financing mattersManage multiple active matters simultaneously and coordinate with attorneys and colleagues across practice groupsConduct legal research and provide strategic guidance to support financing structures and market developmentsStructure and execute mortgage-backed and asset-backed financing arrangementsCoordinate with clients, lenders, underwriters, servicers, and other transaction participantsProvide strategic legal advice regarding transaction structures, risk allocation, and market developmentsCollaborate with attorneys across finance, capital markets, and related practice areas on complex transactionsWhy Join Us?This is a unique opportunity to join a market-leading structured finance team that regularly handles some of the industry's most sophisticated and innovative transactions.
