The role focuses on representing clients in acquisitions, dispositions, leasing, secured financings and public finance transactions, including preparation and review of loan and bond documentation, trust indentures, and due diligence materials. The successful candidate will work closely with lenders, borrowers, municipal authorities, underwriters and internal teams to deliver pragmatic legal solutions and manage closings from inception through funding.Key ResponsibilitiesDraft, review, and negotiate commercial real estate documents including purchase and sale agreements, leases, easements, and related ancillary agreements.Prepare, analyze, and negotiate loan agreements, security instruments, intercreditor agreements, and other documents related to commercial lending and secured financing.Draft and review public finance documentation such as trust indentures, bond purchase agreements, continuing disclosure undertakings, and related bond documents.Conduct comprehensive due diligence reviews for acquisitions, financings and public finance deals, identify title, survey, environmental and zoning issues, and coordinate solutions with clients and third parties.Coordinate closings and funding processes, work with title companies, trustees, lenders, borrowers, and municipal officials to ensure timely and accurate completion of transactions.Advise and support clients on regulatory, permitting, and compliance matters related to commercial real estate and municipal finance.Manage external vendors and third parties, including surveyors, title companies, and environmental consultants, and supervise junior associates and paralegals on transaction tasks.Provide clear, client-focused communication including status updates, risk assessments and strategic recommendations throughout the lifecycle of a matter.Stay current on market developments, legislative changes, and case law impacting commercial real estate, lending and public finance, and integrate relevant updates into client advice.QualificationsJuris Doctor (JD) from an accredited law school and active bar admission in Washington DC, Virginia, or Maryland.3+ years of transactional experience, preferably at a law firm or in-house legal department, with substantive exposure to commercial real estate (CRE) and commercial lending.Demonstrated experience with commercial loans, secured financing structures, lender-side representation, and related documentation.Familiarity with public finance transactions including municipal bonds, trust indentures and bond documents; experience with municipal bond work is highly desirable.Strong due diligence experience, including title, survey, environmental and zoning review for acquisitions and financings.Excellent drafting and negotiation skills with the ability to produce clear, precise transactional documents and closing checklists.Proven ability to manage multiple matters simultaneously, meet deadlines and lead closing processes with attention to detail.Outstanding interpersonal and client service skills, comfortable interacting with lenders, borrowers, underwriters, municipal officials and other stakeholders.Comfortable supervising junior team members and collaborating across departments; self-motivated with a practical, problem-solving orientation.Proficiency with document management systems, MS Office suite and willingness to learn practice-specific software and e-closing platforms.
