Real Estate Funds Senior Associate Attorney

Direct Counsel is seeking a Senior Associate Attorney with 6+ years of experience to join a leading global law firm and its highly regarded Asset Management practice.

Position Overview

The firm is seeking a senior associate to join its Real Estate Funds team and play a leading role in the formation, structuring, management, and fundraising of sophisticated real estate investment funds. The ideal candidate will have substantial experience representing real estate fund sponsors and investors across open-end and closed-end fund structures, co-investment vehicles, and other real estate investment products.

This position offers the opportunity to take a significant role in fundraising matters, lead deal teams, work directly with sophisticated clients and investors, and develop long-term client relationships.

Responsibilities
  • Represent real estate fund sponsors in fund formation, structuring, fundraising, and investor negotiations .
  • Advise clients on the formation and management of open-end and closed-end real estate funds.
  • Lead teams through complex real estate fund fundraising processes.
  • Draft, review, and negotiate fund offering documents, partnership agreements, side letters, and co-investment vehicle documents .
  • Represent sponsors and investors in legal and regulatory matters involving real estate funds and investment products.
  • Conduct legal research and analyze securities laws and regulatory requirements affecting real estate funds.
  • Coordinate with clients, investors, and service providers to facilitate fund closings.
  • Prepare and review disclosure documents and investor communications.
  • Identify and resolve legal issues involving fund operations, management, and investor relations.
  • Monitor legal and regulatory developments affecting real estate funds, co-investment vehicles, and related investment products.
  • Collaborate with attorneys across tax, real estate, finance, and regulatory practices.
  • Supervise and mentor junior associates.
  • Work closely with partners to maintain and expand existing client relationships and develop into a trusted advisor to clients.
  • Utilize AI technologies responsibly and ethically to enhance legal research, drafting, and document review.
Qualifications
  • 6+ years of legal experience at a global or leading law firm with a focus on real estate funds, co-investment vehicles, and real estate investment products .
  • Extensive experience advising on the formation, structuring, fundraising, and management of real estate funds .
  • Experience with both open-end and closed-end fund structures .
  • Experience representing real estate fund sponsors and institutional investors.
  • Strong knowledge of real estate fund structures, securities laws, and applicable regulatory frameworks.
  • Proven ability to draft and negotiate sophisticated fund documentation.
  • Admission to the New York Bar required.
  • Excellent analytical, organizational, and project management skills.
  • Exceptional attention to detail and ability to manage multiple complex matters and deadlines.
  • Demonstrated ability to lead teams and mentor junior attorneys.
  • Strong interpersonal and client management skills.
  • Desire and ability to develop long-term client relationships and become a trusted advisor.
  • Proficiency using AI technologies responsibly and ethically.
Compensation

$390,000+ annually , depending on qualifications and experience, plus eligibility for a discretionary bonus.
