Confidential Employer. Job Description Lead sophisticated mergers and acquisitions, including asset and stock purchases, mergers, divestitures, and joint ventures. Structure, draft, review, and negotiate purchase agreements, letters of intent, shareholder agreements, operating agreements, and closing documents. Direct due diligence efforts, identify transaction risks, and advise clients on deal structure, regulatory considerations, and closing strategy. Counsel closely held and middle‑market businesses, private equity sponsors, and institutional clients on corporate governance and transactional matters. Build, maintain, and expand a portable book of business while developing new client and referral relationships. Partner with attorneys across Tax, Employment, Intellectual Property, Real Estate, Litigation, and other practices on complex transactions. Help establish and grow the Connecticut corporate M&A practice. Mentor junior attorneys and contribute to business development, practice initiatives, and firm leadership. Qualifications Juris Doctor from an accredited law school. Active Connecticut Bar license in good standing. 10+ years of concentrated M&A and corporate transactional law experience. $250K+ portable book of business with demonstrated originations. Proven experience managing complex M&A transactions from letter of intent through closing and post‑closing. Strong professional reputation within the Connecticut and greater tri‑state business community. Excellent drafting, negotiation, strategic counseling, and client‑management skills. New York Bar admission is a plus.
