The Legal Associate will support a broad range of legal and corporate matters, including SEC reporting, corporate governance, accounting and budgeting, and database management, among others. Reporting to the Director, Legal, the Legal Associate will serve as a flexible, solutions-oriented partner to the Legal Team and cross-functional stakeholders throughout the organization. This role is designed to provide broad exposure across corporate legal activities and to evolve with the needs of the business.Experience: Bachelor’s degree is required; paralegal certification strongly preferred5+ years of relevant paralegal or corporate legal experience, preferably within the pharmaceutical/biotechnology industryDemonstrated experience preparing and supporting SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statement, and Section 16 filings (Form 4s and 144s)Experience working with virtual data rooms and legal operations technology platformsFamiliarity with equity administration, including 10b5-1 sales plans, preferredResponsibilities: Serve as a trusted resource to the Legal, Finance, People & Culture, and Corporate Affairs teams on corporate governance and legal operations matters Provide cross-functional project management and project implementation for the operational activities of the Legal team and other departmentsDrive continuous improvement of legal department processes, templates, systems, and workflowsSupport preparation, drafting, and filing of SEC reports and disclosures, including Forms 10-K, 10-Q, 8-K, proxy statement, and Section 16 filings (Form 4s and 144s), in collaboration with internal stakeholdersContribute to the development, implementation, review and maintenance of various databases and platforms; serve as the administrator of the company’s data room and disclosure backup book; supports diligence activitiesManage the invoicing and budgeting process for the Legal Team, including invoice tracking, vendor relationships, and budget monitoring and reportingLead ongoing maintenance of domestic and international subsidiaries, and related compliance matters for registrations and state filings, including annual reporting requirements and surveysSupport equity administration activities, including 10b5-1 sales plan communication, training, and submission cycles; management of stock plan documentation and reporting mattersManagement of EDGAR Next system, including enrollment and all annual requirementsConduct multi-disciplinary legal research to include gathering data, performing appropriate analysis and summarizing of results to support decision making Assist with various matters for the company’s Board of Directors, including ongoing maintenance and upkeep of corporate minute book, preparation of board and committee meeting materials, and annual director and officer questionnairesAssist with coordination and planning of the annual shareholder meetingPerform special projects and related responsibilities, as neededKey Skills:Commitment to integrity and ethical conduct; ability to handle confidential and proprietary information using excellent discretion and judgmentStrong work ethic, exemplary professionalism, and interpersonal skillsProactive, accountable and lives up to commitments; ability to prioritize and meet deadlinesFlexibility and can-do attitude to manage unexpected situations successfully and thrive in a fast-paced environmentExcellent verbal and written communication, including drafting and proofreading skillsStrong attention to detail and excellent organizational skillsAbility to work well independently and collaborate with others Strong project management skills with the ability to multi-task and reprioritize quickly and efficientlyExperience with a variety of platforms to demonstrate efficient database management and administrationOpenness to learn and leverage technological solutionsStrong problem-solving and troubleshooting skills with the ability to exercise mature judgmentProficient skills in MS Suite applications including Word, PowerPoint, Excel, and OutlookPay Range Disclosure Statement$129,000—$175,000 USDThe range provided is based on what we believe is a reasonable estimate for the annual base salary pay range for this position at the time of posting. Actual annual base salary will vary based on several factors including, but not limited to, relevant skills, experience, qualifications, position criticality, and internal equity. This position is eligible for a discretionary annual bonus and discretionary stock-based long-term incentives.
