Vice President, Corporate Transactions & Regional Counsel

Overview The Vice President, Legal, Corporate Transactions & Regional Counsel serves as a key member of the Legal Leadership Team and will provide legal counsel and strategic partnership across the organization’s Management Services Organization (MSO) operations, with primary responsibility for supporting enterprise growth initiatives, health system partnerships, clinical education, and corporate development. Responsibilities Strategic Health System Partnerships: serve as lead legal advisor for complex health system and strategic partnership arrangements across emergency medicine, hospital medicine, critical care, and other clinical service lines; structure, draft, negotiate, and manage sophisticated professional services agreements, management services agreements, joint operating arrangements, and related healthcare transactions; provide proactive counsel regarding healthcare laws. Corporate Transactions & Enterprise Legal Strategy: partner with the General Counsel and executive leadership on mergers, acquisitions, joint ventures, affiliations, financings, and other strategic corporate transactions; coordinate legal due diligence; oversee corporate entity formation and multi‑state legal qualification related to MSO and physician practice operations; manage and mentor legal support staff. Executive Compensation & Equity Programs: support the design, implementation, and administration of management incentive and equity programs; assist in drafting and maintaining equity award agreements, governance documentation, and related program materials. Clinical Operations & Academic Partnerships: oversee drafting, negotiation, and maintenance of ancillary agreements supporting clinical and operational initiatives, including academic affiliation agreements, medical directorships, and vendor arrangements. Growth, Innovation & Business Partnership: provide strategic legal counsel for enterprise business development initiatives, Requests for Proposals (RFPs), and commercial partnership opportunities; draft and negotiate NDAs and other commercial agreements. Education & Experience Minimum of 7 years of progressively responsible legal experience in healthcare law, corporate transactions, or related in‑house counsel roles supporting hospitals, physician groups, health systems, management services organizations, or other complex healthcare organizations. Juris Doctor (JD) from an accredited law school. Active license and good standing with at least one state bar association. Proven negotiation of complex provider and health system agreements and management of sophisticated healthcare transactions. Experience advising senior executives and cross‑functional business leaders in a strategic advisory capacity preferred. Deep expertise in healthcare law and regulatory frameworks, including Stark Law, Anti‑Kickback Statute, corporate practice of medicine, and physician reimbursement matters. Primarily remote role with limited travel requirements (approximately 3–4 multi‑day trips annually). Physical Demands The employee is regularly required to sit for prolonged periods and occasionally walk, stand, bend, stoop, and lift up to 15 pounds.
