Transactions Associate Attorney – Silicon Valley, San Francisco, or San Diego, California

Direct Counsel is seeking a Transactions Associate Attorney to join a highly respected Am Law firm in its Silicon Valley, San Francisco, or San Diego office.

This opportunity is ideal for an attorney with 3–5 years of experience handling a mix of emerging companies, venture capital, M&A, private equity, and general corporate matters. The successful candidate will join a dynamic and collaborative transactions practice supporting startups, growth-stage companies, investors, and established public and private companies.

Key Responsibilities:

• Advise clients on emerging companies and venture capital financing transactions.

• Draft, review, and negotiate financing documents, including preferred stock financings and related agreements.

• Support mergers and acquisitions, dispositions, joint ventures, and other strategic transactions.

• Assist with private equity and general corporate counseling matters.

• Work on capital markets transactions and public company reporting matters, as applicable.

• Provide day-to-day corporate counseling to startups, founders, and investors.

• Conduct due diligence and support transaction execution from initial structuring through closing.

• Collaborate with attorneys across practice groups on complex transactional matters.

• Manage multiple deals and client matters in a fast-paced environment.

Qualifications:

• J.D. from an ABA-accredited law school.

• Active membership and good standing with the California Bar.

• 3–5 years of experience in venture capital, emerging companies, and/or general corporate transactional work.

• Experience with M&A, venture financings, and commercial transactions strongly preferred.

• Capital markets and public company experience is a plus.

• Strong drafting, negotiation, and analytical skills.

• Excellent communication and interpersonal abilities.

• Demonstrated ability to manage multiple transactions simultaneously.

• Strong business judgment and client-service orientation.

• Outstanding academic credentials.

Compensation: $260,000 – $390,000, commensurate with experience and qualifications.
