Associate General Counsel, Securities & Corporate Legal

We're looking for a senior corporate lawyer to help Lemonade navigate the legal complexities of being a public, high-growth company at the intersection of insurance and AI. We're building the future of insurance with AI at its core, and we love people who are genuinely excited to learn and grow alongside these tools.In this role you'llLead legal support for capital markets activities, including equity offerings, debt issuances, and capital management initiativesAdvise management and the Board on SEC, NYSE, and other securities law requirements, including periodic reporting, insider trading compliance, Regulation FD, and Rule 10b5-1 plansManage disclosure controls and procedures, proxy statements, Form 4 filings, and investor communicationsDrive legal execution of acquisitions, divestitures, joint ventures, and strategic investments, including due diligence, transaction structuring, and negotiationOversee significant commercial agreements, vendor contracts, and strategic partnerships, while building scalable contracting processes and templatesAdvise executive leadership and the Board on corporate governance matters, fiduciary duties, and delegations of authoritySupport Board and committee meetings as Assistant Corporate Secretary, and monitor regulatory and legislative developments across our operating jurisdictionsWhat you'll need10+ years of relevant legal experience at a nationally recognized law firm and/or public company legal departmentJ.D. from an accredited law school and admission to practice in at least one U.S. jurisdiction in good standingDeep expertise in securities law, public company reporting, SOX compliance, and corporate governanceProven M&A and strategic transaction experience, including cross-functional project management and coordination of outside counselStrong contract negotiation and drafting skills, with experience advising senior executives, boards, and audit committeesGenuine enthusiasm for AI-powered legal tools, and a track record of building or improving legal workflows with technologyReady to work in our NYC office 3 days per weekPlease note that we are unable to sponsor applicants for work visas.Lemonade's US base salary range for this full-time position is $225,000 - $250,000 plus equity + benefits. Our salary ranges are determined by role, level, and location. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training.
