Real Estate Funds Senior Associate Attorney – Am Law 100
Direct Counsel is seeking a Real Estate Funds Senior Associate Attorney with 5+ years of experience to join a leading Am Law 100 law firm and its highly regarded Asset Management practice.
LocationSan Francisco, CA
Position OverviewThe ideal candidate will have substantial experience advising on the structuring, formation, and management of open-end and closed-end real estate funds , including co-investment vehicles and other real estate investment products. This role offers the opportunity to work closely with partners, lead teams, and advise sophisticated real estate fund sponsors and investors on complex fundraising, transactional, and regulatory matters.
Responsibilities- Represent real estate fund sponsors and investors in sophisticated transactions and negotiations.
- Advise clients on the formation, structuring, and management of open-end and closed-end real estate funds .
- Lead teams through fundraising processes for real estate funds.
- Draft, review, and negotiate fund offering documents, partnership agreements, side letters, and co-investment vehicle documents.
- Conduct legal research and analyze regulatory requirements affecting real estate funds and related investment products.
- Coordinate with clients, investors, and service providers to facilitate fund closings.
- Prepare and review disclosure documents and investor communications.
- Support due diligence processes for real estate acquisitions and investments.
- Identify and resolve legal issues involving fund operations, management, and investor relations.
- Monitor developments in laws and regulations affecting real estate funds, co-investment vehicles, and related products.
- Work collaboratively with attorneys in tax, real estate, finance, and regulatory practices.
- Supervise and mentor junior associates and legal professionals.
- Support partners in maintaining existing client relationships and developing trusted client relationships.
- Utilize AI technologies responsibly and ethically to enhance legal research and document review.
- 5+ years of real estate funds experience at a global or comparable law firm.
- Substantial experience with real estate funds, co-investment vehicles, and real estate investment products .
- Proven experience advising on open-end and closed-end fund structures.
- Experience representing real estate fund sponsors and investors.
- Strong knowledge of real estate fund structures, securities laws, and applicable regulatory frameworks.
- Demonstrated ability to draft and negotiate sophisticated fund and transaction documents.
- Strong leadership and team-management skills.
- Excellent analytical, organizational, communication, and client service skills.
- Ability to manage multiple complex matters and competing deadlines.
- Strong attention to detail and sound judgment.
- J.D. from an accredited law school.
- Admission to the California Bar in good standing is required.
The anticipated salary for this position is $365,000+ annually , depending on applicable experience, skill set, and other relevant factors.
