Corporate Associate – M&A / Venture Capital

San Diego, CA | Hybrid

Direct Counsel is representing an AmLaw 100 firm seeking a mid-to-senior level Corporate Associate with 4–6 years of experience to join its Corporate Practice in San Diego.

About the Role

This is an excellent opportunity for a corporate attorney with strong experience handling public and private M&A, private equity, startup, and venture capital transactions . The ideal candidate will be comfortable taking on significant responsibility and working collaboratively across practice areas.

Responsibilities

• Handle public and private M&A transactions from inception through closing
• Support startup and venture capital transactions
• Draft and negotiate acquisition agreements and other complex transaction documents
• Work on private equity and corporate transactions
• Manage significant transaction workstreams and client matters
• Collaborate with attorneys across multiple practice areas
• Communicate directly with clients and deal teams
• Work effectively in a fast-paced, deadline-driven environment

Qualifications

• 4–6 years of corporate transactional experience
• Strong experience with public and private M&A
• Experience with startup and venture capital transactions
• Strong working knowledge of acquisition agreements and complex M&A/private equity documentation
• Demonstrated proficiency in drafting and negotiating transaction documents
• Strong academic credentials and excellent writing skills
• Excellent interpersonal and communication skills
• Ability to work independently and as part of a team
• California Bar admission required

Compensation & Benefits

$310,000–$390,000/year , depending on experience and other factors.
