Job Description Job Description Direct Counsel represents a prestigious AmLaw firm seeking a Tax-Exempt Organizations / Nonprofit Associate Attorney with 3–6 years of experience to join its Tax Practice Group. This position is open in the following office locations: Los Angeles Century City Orange County San Diego Del Mar Silicon Valley New York City Chicago Dallas Houston Washington This opportunity offers the chance to work with nationally recognized nonprofit, charitable, philanthropic, healthcare, and tax-exempt organization clients. Responsibilities: Advise nonprofit and tax-exempt organizations on federal tax-exemption requirements and compliance matters Counsel clients on nonprofit governance, board practices, conflicts of interest, executive compensation, and organizational policies Assist with obtaining and maintaining tax-exempt status Advise on private foundation rules, UBIT, excess benefit transactions, and Form 990 reporting requirements Structure relationships between nonprofit and for-profit entities Support nonprofit mergers, reorganizations, dissolutions, and other strategic transactions Conduct legal research and prepare memoranda, opinions, and client communications Collaborate with attorneys across tax, healthcare, corporate, and private client practice groups Qualifications: Juris Doctor (JD) from an accredited law school 3–6 years of tax-exempt organizations and nonprofit law experience Significant experience with tax-exempt organization compliance and nonprofit governance matters Strong legal research, writing, analytical, and communication skills Ability to manage multiple matters and work independently when appropriate Strong attention to detail and organizational skills Team-oriented mindset with excellent interpersonal skills Licensed and in good standing with the bar in the applicable jurisdiction Preferred Experience: Healthcare organizations, hospitals, or health plans Nonprofit transactions, restructurings, mergers, and dissolutions Philanthropic planning for high-net-worth individuals and businesses Transactional matters involving tax-exempt entities International nonprofit activities and grantmaking Compensation & Benefits: Salary range: $260,000 – $390,000 annually Competitive bonus structure and comprehensive benefits package
