Mid-Level Life Sciences Licensing Associate

Overview Goodwin seeks a licensed mid-level associate (3–4 years of experience) to join our Life Sciences group. The candidate will focus on intellectual property licensing, technology transfer, and other technology transactions, with involvement in IP support for corporate transactions in the life sciences sector. Responsibilities Drafting and negotiating intellectual property licenses (including patent and trademark licenses). Structuring and negotiating joint development, collaboration, and other strategic alliance agreements. Negotiating technology licenses and services agreements, including software as a service (SaaS) arrangements. Drafting and negotiating distribution agreements. Performing IP and technology transaction due diligence for corporate transactions and technology transfers. Managing components of transactions independently while collaborating with teams. Qualifications 3–4 years of experience in IP licensing, technology transfer, and related technology transactions, with direct experience preferred. Experience in life sciences IP support, including due diligence for corporate transactions and technology transfers. Experience in some or all of: drafting and negotiating IP licenses, joint development and collaboration agreements, technology licenses and SaaS agreements, and distribution agreements. Experience in adjacent fields is a plus but not weighted as heavily as direct licensing experience. Strong academic credentials and excellent written and verbal communication skills. General experience working in teams and managing substantial components of transactions independently.
