Corporate Securities Associate

Kelley Drye & Warren LLP’s Corporate Practice Group is seeking a highly motivated mid-level associate with a solid background in securities matters and/or lending work. Ideal candidates will enjoy the variety and diversity of a broad-based corporate practice, have previous law firm experience, and at least 5 years of experience.Responsibilities:Provide expert legal advice and guidance on mergers and acquisitions, private securities offerings, corporate governance, and other related mattersDraft and negotiate complex transactional documents, including purchase agreements, shareholder agreements, and confidentiality agreementsConduct due diligence investigations and prepare comprehensive reports for clientsManage and oversee junior associates and paralegals on various transactionsCollaborate with cross-functional teams to ensure seamless execution of dealsStay updated on relevant legal developments and industry trends to provide proactive and strategic advice to clientsRepresent clients in negotiations, mediations, and other dispute resolution processes, when necessaryPublic securities and stock exchange compliance including 34 Act, and 33 Act a plusRequirements:Juris Doctor (J.D.) degree from an accredited law schoolMinimum of five years of law firm experience in general mergers and acquisitions mattersStrong knowledge of corporate law, securities regulations, and corporate governance principlesExcellent drafting and negotiation skills, with a keen attention to detailProven ability to manage multiple complex projects simultaneouslyExceptional analytical and problem-solving abilitiesExcellent interpersonal and communication skills, both written and verbalAbility to work independently and collaboratively in a fast-paced and demanding environmentWe have a strong preference for the candidate to be based in our Chicago office. The salary range displayed is specifically for those potential hires who will work or reside in Chicago if selected for the role. Any offered salary is determined based on internal equity, internal salary ranges, market data/ranges, applicant’s skills and prior relevant experience, certain degrees, and certifications (e.g., JD/technology) for example.
