Watts & Associates is working discreetly with a highly regarded Am Law 200 ranked national law firm seeking a 4th to 6th year Private Investment Funds and Fund Formation Associate to join its Los Angeles, CA office.

This is a partnership track opportunity for an associate who wants substantial ownership of matters, direct client contact, and a steady stream of sophisticated private funds work across sponsor side and investor side representations.

The team operates on a collaborative, partner led model within a broader corporate platform, with strong integration across private capital and emerging growth practices. The role is in office five days per week in Los Angeles.

The Opportunity

You will run key workstreams on fund formation matters, including drafting and negotiating limited partnership agreements, private placement memoranda, subscription materials, side letters, and advisory committee governance documentation. The practice also advises on regulatory compliance, capital deployment considerations, and related transactions such as secondaries and coinvestment arrangements.

Ideal Candidate Profile

The firm is seeking a 4th to 6th year Private Investment Funds and Fund Formation Associate with:

• 4 to 6 years of law firm experience focused on private fund formation and investment management
• Experience managing both sponsor side and investor side engagements with meaningful client responsibility
• Strong drafting and negotiation experience with limited partnership agreements, private placement memoranda, subscription documents, side letters, and advisory committee governance documents
• Active California Bar membership or eligibility for prompt admission in California
• Strong academic credentials from an accredited law school

Compensation
