Corporate Governance Manager

Position Summary The Corporate Governance Manager will support the Legal Department’s responsibility to maintain an appropriately structured corporate governance framework for board and committee meetings of Medical Professional Mutual Insurance Company (MPMIC) and its US‑based subsidiaries and affiliates (the "Coverys Companies") in conjunction with the General Counsel (GC), Chief Executive Officer (CEO), and the MPMIC and subsidiary and affiliate Boards of Directors. The role provides oversight, organizational management, and continuous improvement in the corporate governance function and manages the day‑to‑day responsibilities of the corporate secretary function of Coverys. Responsibilities Collaborate with GC, CEO, and Coverys Board members to identify and prioritize discussion items for boards and committees. Manage administrative and governance processes for MPMIC Board and its committees, including scheduling, agenda preparation, meeting books, attendance, and minute preparation. Oversee administrative and governance processes for Coverys Companies’ boards, including scheduling, agenda preparation, compiling meeting materials, attendance, and minute preparation. Serve as the key liaison for Coverys directors, ensuring timely communication and support. Develop and forecast budgets for MPMIC Board travel and meetings, process expense reports, and manage reimbursement for board and independent members. Coordinate logistical planning for MPMIC Board meetings, including site coordination and vendor engagement. Plan and execute MPMIC Board retreats with the Executive team. Manage the Diligent Board Portal, including site management, user roles, and vendor review/contract renewals in collaboration with GC. Oversee the annual proxy process and member meetings for MPMIC and Coverys Risk Retention Group, Inc. Administer all annual evaluations and certifications (e.g., conflict of interest, code of conduct) for MPMIC Board and its committees, and Coverys Risk Retention Group, Inc. Board. Facilitate annual review of board charters and related documents to ensure alignment with regulations, bylaws, and policies. Track and maintain quarterly board and committee requirements, action items, and deliverables for GC, MPMIC Board, and senior management. Ensure maintenance and retention of all board and committee documents and records. Maintain adherence to corporate governance standards and best practices, continuously reviewing and improving processes to enhance efficiency and effectiveness. Create reports and correspondence as required. Occasional travel to Coverys offices and conferences/training opportunities. Support evolving business needs as applicable. Education, Experience and Competencies Bachelor’s Degree in a related field or equivalent professional experience. Three (3) to five (5) years of experience managing board and committee processes. Broad knowledge of corporate governance and corporate secretary functions. Experience with Diligent or similar electronic board book software highly preferred. Insurance or other financial services industry experience preferred. Excellent verbal and written communication skills, with proven ability to communicate with senior leaders and board members. Strong attention to detail, reliability, and the ability to prioritize tasks in a fast‑paced, deadline‑driven environment. Ability to uphold discretion, confidentiality, and exercise good judgment in day‑to‑day decisions. Strong organizational, time management, and project management skills. Ability to work independently and under pressure. Compensation Base salary range is $98,645 - $116,055. Individual compensation packages are based on a variety of factors unique to each candidate, including location, skill set, experience, qualifications, and education.
