Business Tax Associate

Type: Direct Hire Location: Charlotte, NC Pay Range: $160k - $190k/Annum

MUST HAVES:

• Minimum 3 years of experience as a tax associate at a law firm.
• Experience with transactional tax, including taxable and tax-free mergers and acquisitions.
• Experience with private equity transactions, buyouts, restructurings, joint ventures, or corporate reorganizations.
• LL.M. in Taxation, with excellent academic credentials.
• Strong technical tax skills, including analyzing complex tax issues, drafting and negotiating tax provisions, and preparing tax memoranda.
• Ability to manage multiple ongoing transactions in a fast-paced environment with strong writing, analytical, communication, and organizational skills.

DAY TO DAY:

• Advise clients on the tax aspects of domestic and cross-border business transactions.
• Assist with mergers and acquisitions, private equity transactions, fund formations, financings, joint ventures, and corporate reorganizations.
• Help clients structure transactions to achieve business objectives, manage tax exposure, and comply with federal, state, and international tax laws.
• Draft and negotiate tax provisions and prepare tax memoranda.
• Work on partnership and LLC structuring, private investment fund formation, and sponsor-level planning.
• Collaborate with attorneys across corporate, private equity, finance, and investment funds practices.
• Leverage legal technology platforms, including Harvey AI, for research, document drafting, and analytical work.

PLUSSES:

• Experience with cross-border acquisitions, financings, and inbound/outbound international investments.
• Experience with tax credit investments, including new markets, historic, low-income housing, and energy tax credits.
• Experience with GP stakes, secondary transactions, nonprofit tax matters, or private investment fund sponsor-level planning.
