Associate Attorney

Overview We are a niche law firm in Grapevine, Texas, serving as outside general counsel to faith-based and nonprofit organizations nationwide. We seek a full‑time Associate Attorney to support transactional and governance matters while also contributing to firm workflow across transactional and limited litigation needs. This role involves direct client interaction, collaboration with a Transaction Team, and regular oversight and mentorship from senior attorneys. Key Responsibilities Draft, review, and revise governance and corporate documents (bylaws, articles of formation, employee handbooks, workplace and volunteer policies, and other compliance materials). Draft, review, and negotiate contracts, facility use agreements, leases, purchase and sale agreements, and other transactional documents. Handle real estate transactions and related documentation. Assist with employment law matters, staff separations, demand letters, and related issues as needed. Conduct legal research and prepare memoranda for transactional and litigation matters. Draft litigation documents as assigned (pleadings, discovery, motions, briefs) and participate in hearings, depositions, mediations, and other litigation events when required. Serve as a point of contact for clients, respond to client communications (within 48 hours), and provide counsel on transactional and governance issues while collaborating with supervising attorneys for review and approval. Participate in firm meetings and team processes (monthly one‑to‑one with supervisor, weekly all‑staff meetings), follow firm operational procedures and software/workflow protocols, and meet assigned timelines. Manage assigned projects and deadlines; maintain high quality, ethical work product. Meet monthly billable hour expectation of 140 hours. Qualifications Juris Doctor (JD) from an accredited law school and Bachelor’s degree. Licensed to practice law in at least one U.S. jurisdiction; Texas license or pending admission/candidate for upcoming Texas bar strongly preferred. 1–5 years of experience in transactional or corporate law; experience with nonprofit governance or religious organizations preferred. Exposure to litigation practice is a plus. Strong drafting, analytical, and organizational skills; attention to detail. Ability to read, analyze, and interpret legal issues across transactional and litigation areas. Excellent written and verbal communication and client service skills. Ability to manage multiple projects, meet deadlines, and collaborate effectively with senior attorneys and staff. Proficiency with internet research and standard practice management software.
