In-House Board Accountant — M&A Due Diligence

This position will play a critical role in evaluating acquisition targets and determining the financial health, accuracy, and viability of businesses under consideration for acquisition. We are seeking a highly experienced Board Accountant with a minimum of 20 years of professional accounting experience and demonstrated experience working directly with business acquisitions, mergers, financial due diligence, or M&A transactions . The successful candidate will be responsible for conducting and overseeing financial audits and due-diligence reviews of companies ACE Investments is considering acquiring. This individual must be capable of independently identifying financial discrepancies, risks, liabilities, accounting irregularities, and opportunities that could materially affect an acquisition decision. Key Responsibilities Conduct comprehensive financial audits and due-diligence reviews of prospective acquisition targets. Analyze balance sheets, income statements, cash-flow statements, general ledgers, tax records, accounts receivable/payable, and other financial documentation. Identify accounting irregularities, undisclosed liabilities, financial risks, and potential red flags. Evaluate the accuracy and quality of a target company's financial reporting. Assess normalized earnings, cash flow, working capital, debt, and other financial metrics relevant to valuation. Assist ACE Investments in determining whether a prospective acquisition is financially sound. Review historical financial performance and identify trends that may affect future performance. Work closely with management, attorneys, investment professionals, and other advisors throughout the M&A process. Prepare clear written findings and recommendations for ACE Investments' leadership and investment decision-makers. Help establish financial controls and post-acquisition accounting procedures when transactions are completed. Maintain strict confidentiality regarding prospective acquisitions and sensitive financial information. Required Qualifications 20+ years of professional accounting experience. Demonstrated experience in mergers, acquisitions, financial due diligence, or transaction accounting. Extensive knowledge of financial statements and corporate accounting. Ability to independently audit and analyze the financial records of privately held businesses. Strong understanding of acquisition accounting and financial due diligence. Proven ability to identify discrepancies and financial risks that may not be immediately apparent. Excellent analytical, investigative, and communication skills. Ability to provide professional references who can verify previous accounting and/or M&A work. Demonstrated history of working with business owners, executives, investors, or acquisition teams. Preferred Qualifications CPA or equivalent professional accounting designation. Experience conducting due diligence for private-company acquisitions. Experience working with private equity firms, investment groups, M&A firms, or corporate development teams. Experience evaluating small-to-middle-market businesses. Experience preparing financial reports for boards, investors, or executive leadership. Strong understanding of valuation and transaction structures. Compensation & Equity Opportunity ACE Investments is open to structuring compensation around the candidate's experience and involvement in individual transactions. In addition to traditional compensation, qualified candidates may be offered founder's equity and transaction-based bonuses for meaningful contributions to successfully completed acquisitions. Equity and bonus arrangements will be negotiated based on the candidate's experience, responsibilities, and contribution to each transaction. We are looking for a seasoned accounting professional who can serve as a trusted financial authority during the acquisition process. The ideal candidate is someone whose experience allows them to look beyond the numbers, ask the right questions, identify financial risks, and provide ACE Investments with an informed opinion before capital is committed to an acquisition.
