Direct Counsel is seeking an Investment Funds Associate to join a premier sponsor-side private equity fund formation practice in Washington, D.C. This is an exceptional opportunity for an attorney looking to work with leading fund sponsors on sophisticated fund formation, structuring, and operational matters while receiving mentorship from nationally recognized practitioners.

The ideal candidate will have experience in private investment funds and a strong interest in advising sponsors through all stages of fund formation and operation.

Responsibilities

• Advise private equity sponsors on the formation, structuring, and operation of private investment funds
• Draft and negotiate:
  • Limited partnership agreements
  • Subscription agreements
  • Side letters
  • Management and advisory agreements
  • Fund governance documents
• Assist clients with fund formation, fundraising, and investor negotiations
• Advise sponsors on regulatory, compliance, and operational matters
• Support the structuring of investment vehicles and sponsor entities
• Conduct legal research and prepare memoranda on complex fund-related issues
• Work directly with sponsors, investors, and senior deal teams
• Collaborate with attorneys across tax, regulatory, finance, and corporate practice groups

Qualifications

• J.D. from an accredited law school
• Law school class years 2018–2021
• Experience with private investment funds and fund formation matters
• Strong understanding of private equity fund structures and market terms
• Excellent drafting, negotiation, and analytical skills
• Outstanding written and verbal communication abilities
• Strong attention to detail and project management skills
• Ability to manage sophisticated matters in a fast-paced environment
• Outstanding academic credentials

Compensation & Benefits

• Salary range: $310,000 – $420,000
• Compensation based on experience, qualifications, and other operational considerations
