Director, Global M&A Legal

You will lead a broad range of corporate and transactional matters and provide effective, business-focused legal advice to stakeholders throughout Lyft.Our legal work is cutting edge and always evolving. Reporting into the VP, Deputy General Counsel, Corporate Commercial, we are looking for an entrepreneurial, resourceful, and highly collaborative leader who can continuously assess and advise on legal issues using a creative and pragmatic approach. Responsibilities:Lead a wide range of corporate initiatives, including complex MA and integrations, divestitures, strategic investments, joint ventures, domestic and international corporate structuring, capital markets transactions, financing matters, subsidiary management and other strategic corporate projects.Manage and mentor a high-performing in-house team of MA legal professionals, fostering a culture of growth and execution excellence.Partner closely with Lyft's Corporate Development team and Treasury team as well as advise company leadership and cross-functional stakeholders (e.g. people, accounting, tax, treasury, operations, etc.) on novel corporate legal issues, opportunities and risks of corporate transactions.Draft and negotiate NDAs, LOIs/term sheets and definitive transaction agreements.Shape, scale and improve our legal processes/playbooks that enable both legal and business functions to scale effectively.Assist other teams with projects on an as-needed basis.Experience:10+ years of experience practicing corporate and securities law, with an emphasis on MA and strategic transactions; experience at a top-tier law firm and in-house experience at a public company are both required.Degree from top-tier law school. Member of the California bar (or Registered In-House Counsel) in good standing. Rock solid foundation working on corporate and securities matters; must have experience with the strategy, negotiation and process management underpinning complex buy and sell side MA and related transactions (mergers, asset purchases, spinouts, JVs, partnerships and acqui-hires) as well as financing transactions; experience in cross-border MA and integration strategy and process are required.Demonstrated success in leading, managing, and developing an in-house MA legal team.Resourceful self-starter with excellent problem-solving capabilities, judgment, communication (written and verbal) and interpersonal skills.Adept at thinking creatively (and strategically) on your feet; proven ability to manage complex workloads, multiple stakeholder demands and ever-shifting priorities all while instilling confidence.Executive presence given the regular interactions with senior management and Boards of Directors.Sense of humor, positive attitude, low ego, and a willingness to dive into new areas.Benefits:Great medical, dental, and vision insurance options with additional programs available when enrolledMental health benefitsFamily building benefitsChild care and pet benefits401(k) plan with company match to help save for your futureIn addition to 12 observed holidays, salaried team members have discretionary paid time off, hourly team members have 15 days paid time off18 weeks of paid parental leave. In addition to the base pay, this role is eligible for competitive equity awards, bonuses, and benefits.
