Corporate Associate – Private Equity / M&A

Direct Counsel is representing a leading AmLaw 100 firm seeking a 4th–6th Year Corporate Associate to join its nationally recognized Corporate Practice in Texas. This is an excellent opportunity to work with private equity funds, independent sponsors, and portfolio companies on sophisticated transactions.

Key Responsibilities

• Handle M&A transactions, capital raises, and debt and securities offerings .
• Represent private equity funds, independent sponsors, and portfolio companies.
• Draft and negotiate operating agreements, partnership agreements, and transaction documents.
• Manage M&A transactions from inception through closing.
• Advise portfolio companies on day-to-day corporate and governance matters.
• Work collaboratively across practice areas and mentor junior associates.

Qualifications

• 4–6 years of corporate experience with a strong focus on Private Equity and M&A .
• Experience with majority and minority equity issuances.
• Strong drafting, negotiation, research, and analytical skills.
• Experience managing transactions from inception through closing.
• Strong academic credentials.
• Detail-oriented, proactive, personable, and team-oriented.
• Willingness to mentor junior associates and participate in professional/community organizations.
• Must be admitted to the Texas Bar.
