Business Tax Associate

Job Description McGuireWoods seeks an associate with at least three years of law firm tax experience to join its Business Tax Group. This opportunity allows you to work with a nationally recognized transactional tax team on sophisticated domestic and cross-border business transactions for public and private companies, private equity funds, investment banks, family offices, fund sponsors, nonprofit organizations, and other leading market participants. Responsibilities Advises clients on the tax aspects of mergers and acquisitions, buyouts, restructurings, joint ventures, private equity transactions, tax credit investments, fund formations, financings, and inbound and outbound international investments. Drafts and negotiates tax provisions, prepares tax memoranda, and collaborates across practice groups to deliver practical, business‑oriented advice. Works directly with partners across corporate, partnership, international, fund, nonprofit, and tax credit matters on initiatives such as taxable and tax‑free mergers and acquisitions, cross‑border acquisitions and financings, private investment fund formation, GP stakes, secondary transactions, joint ventures, corporate reorganizations, and partnership/LLC structuring. Assists with transactions involving new markets, historic low‑income housing, and energy tax credits, integrating work with the firm’s corporate, private equity, finance, and investment funds practices. Maintains a fast‑paced, collaborative working environment and manages multiple ongoing transactions in a demanding deal environment. Qualifications At least three years of experience as a tax associate in a law firm. Strong technical tax skills with experience in tax planning around complex business transactions. Excellent academic credentials, preferably an LL.M. in taxation. Excellent writing, analytical, communication, and organizational skills. Ability to analyze complex tax issues and deliver clear, business‑oriented solutions. Willingness to work with innovative technology platforms such as Harvey AI. Benefits and Compensation Salary: $260,000 - $425,000.
