Senior Corporate Attorney

A well-established law firm in New York, NY is seeking an experienced Senior Corporate Attorney to manage complex business transactions from inception through completion. This role is ideal for a seasoned legal professional who can independently lead matters, provide strategic counsel, and serve as a trusted advisor to middle-market entrepreneurs.

Responsibilities:

• Oversee and manage corporate transactions from initial structuring through closing
• Draft, review, and negotiate a wide range of transactional documents, including:
• Buy/sell agreements
• Mergers and acquisitions
• Corporate formations and restructurings
• Shareholder and operating agreements
• Commercial contracts and related business agreements
• Provide strategic legal guidance to middle-market business clients
• Interface directly with clients, opposing counsel, and other stakeholders
• Conduct due diligence and manage transaction timelines
• Identify and mitigate legal and business risks

Qualifications:

• 8-10+ years of experience in corporate and transactional law
• Demonstrated experience handling middle-market business transactions
• Strong drafting, negotiation, and analytical skills
• Ability to independently manage matters from inception to completion
• Excellent client-facing and communication skills

The annual salary for this position is between $180,000 and $250,000. Factors which may affect pay within this range may include geography/market, skills, education, experience and other qualifications of the successful candidate.
