Senior Legal Counsel ALL Full Time Florida, FL, US Salary Range: $155,000.00 To $190,000.00 Annually About the Role: The Senior Legal Counsel will serve as a key legal advisor to Fillex's executive leadership team and play an important role in building the company’s legal infrastructure as Fillex grows. This is a highly visible, hands-on position for an attorney who wants to help build a company rather than simply support an established legal department. The Senior Legal Counsel will advise leadership across commercial transactions, healthcare and pharmacy regulation, corporate and strategic matters, compliance, employment matters, and enterprise risk. This individual must be comfortable moving between strategic issues and detailed execution-from negotiating significant commercial agreements to developing scalable legal processes and policies. As Fillex continues to grow, the Senior Legal Counsel will have the opportunity to help shape the company’s legal function, reduce reliance on outside counsel, and potentially build and lead a broader internal legal team. The role is expected to evolve alongside Fillex's growth, with the potential to become an officer of the company and serve as General Counsel as the organization becomes more established. Minimum Qualifications: Juris Doctor (J.D.) degree from an accredited law school. Active license and good standing to practice law in at least one U.S. jurisdiction. Significant legal experience advising businesses on commercial transactions, corporate matters, regulatory issues, or related matters. Strong experience drafting, reviewing, and negotiating complex commercial agreements. Demonstrated ability to provide practical, business-oriented legal advice to senior executives and business leaders. Excellent judgment, communication, negotiation, and analytical skills. Ability to operate effectively in a fast-paced environment with changing priorities and developing infrastructure. Preferred Qualifications: Experience within healthcare, pharmacy, life sciences, healthcare technology, or another highly regulated industry. Knowledge of federal and state healthcare and pharmacy laws and regulations. Experience with HIPAA, privacy and data-security requirements, healthcare fraud-and-abuse considerations, licensing, reimbursement, or related regulatory matters. Experience supporting corporate transactions, financings, acquisitions, joint ventures, investments, or strategic partnerships. Experience developing or scaling an in-house legal or compliance function. Experience managing outside counsel and legal spend. Experience advising rapidly growing, entrepreneurial, or private-equity/investor-backed organizations. Responsibilities: Lead the drafting, review, negotiation, and execution of commercial agreements, including customer agreements, pharmacy and provider agreements, vendor and technology contracts, strategic partnerships, confidentiality agreements, licensing arrangements, and other corporate contracts. Partner with business leaders to structure transactions that appropriately balance commercial objectives, speed, legal and regulatory risk, and long-term strategic value. Develop standardized contracts, playbooks, approval processes, negotiation guidelines, and other tools that enable Fillex to scale efficiently. Provide practical legal guidance regarding federal and state laws and regulations applicable to Fillex's operations and business model. Work with internal and external subject-matter experts on pharmacy regulation, healthcare compliance, privacy, reimbursement, licensing, and other regulatory matters. Evaluate new products, partnerships, business models, and geographic expansion from a legal, regulatory, and risk perspective. Support compliance with applicable healthcare and pharmacy requirements, including HIPAA and other privacy and data-security obligations, fraud-and-abuse considerations, and applicable state pharmacy laws and regulations. Serve as a legal advisor to the CEO and executive leadership team on significant business and strategic decisions. Support corporate governance, entity management, financing activities, strategic transactions, acquisitions, joint ventures, and other corporate-development initiatives. Coordinate legal diligence and transaction documentation for potential acquisitions, investments, partnerships, and financing transactions. Work effectively with investors, board members, outside counsel, counterparties, and other key stakeholders. Help develop and maintain a practical compliance and enterprise risk-management framework appropriate for a rapidly growing healthcare company. Identify material legal and regulatory risks early and develop practical, business-oriented solutions. Establish policies and processes that appropriately protect Fillex while preserving the company’s ability to operate efficiently and move quickly. Oversee disputes, claims, litigation, investigations, and other legal matters in partnership with outside counsel when appropriate. Advise leadership on employment agreements, confidentiality and restrictive covenant matters, compensation arrangements, policies, employee relations, and other employment-related legal matters. Partner with leadership and Human Resources as Fillex expands its workforce and leadership team. Build scalable legal operations, including contract management, document retention, approval authorities, outside-counsel management, and legal spend controls. Determine when legal matters should be handled internally versus through specialized outside counsel and manage external legal resources for quality, responsiveness, and cost. Skills: The Senior Legal Counsel combines strong legal expertise with commercial judgment and a practical, solutions-oriented approach. The successful candidate understands that the legal function is not simply responsible for identifying risk, but for helping the company understand risk, make informed decisions, and identify responsible paths forward. Strong communication, negotiation, analytical, and relationship-building skills are essential, as this role works closely with executive leadership, employees, investors, board members, business partners, regulators, and outside counsel. The Senior Legal Counsel must demonstrate sound judgment, discretion, urgency, intellectual curiosity, and the confidence to appropriately challenge leadership while remaining collaborative and solutions-oriented. The role requires an individual who is comfortable with ambiguity, evolving infrastructure, and changing priorities.
