Mid-Level Corporate & Private Equity Associate Attorney

Compensation: Competitive, based on experience

Direct Counsel is seeking a Mid-Level Corporate & Private Equity Associate to join the Corporate & Private Equity Practice of a leading Am Law firm . This opportunity is ideal for an attorney with 4–5 years of private equity acquisitions experience who is looking to work on sophisticated transactions for private equity sponsors, portfolio companies, and institutional investors within a nationally recognized private equity platform.

The ideal candidate has experience representing private equity funds in acquisitions and is comfortable managing complex transactions while collaborating closely with clients and multidisciplinary deal teams.

Responsibilities

• Represent private equity sponsors and portfolio companies in leveraged buyouts, acquisitions, divestitures, recapitalizations, minority investments, roll-up transactions, and other strategic corporate transactions.
• Draft, review, and negotiate purchase agreements, merger agreements, investment documents, disclosure schedules, and ancillary transaction documents.
• Manage transaction execution from inception through closing, including coordinating due diligence, transaction timelines, and closing workstreams.
• Advise clients on transaction strategy, corporate governance, and post-closing matters.
• Collaborate with attorneys across finance, tax, executive compensation, restructuring, and other practice areas to deliver comprehensive legal solutions.
• Build and maintain strong client relationships while providing practical, business-focused legal advice throughout the investment lifecycle.
• Support the continued growth of a nationally recognized private equity practice by delivering exceptional client service and managing sophisticated deal activity.

Qualifications

• J.D. from an ABA-accredited law school with strong academic credentials.
• 4–5 years of private equity acquisitions experience at a leading law firm.
• Significant experience representing private equity funds in sophisticated acquisition transactions.
• Strong drafting, negotiation, analytical, and project management skills.
• Excellent written, verbal, and interpersonal communication abilities.
• Ability to independently manage complex transactions while collaborating effectively with clients and colleagues.
• Active bar admission in the jurisdiction where applying.
