You will play a key role supporting a wide range of corporate and commercial legal matters, including drafting, reviewing, and negotiating commercial agreements (e.g. supply, procurement, services, equipment, nondisclosure and material transfer agreements); supporting compliance with regulatory, corporate governance, internal policy requirements; providing practical, solutions-oriented advice to internal stakeholders in areas such as commercial sales, marketing, supply chain, operations, capex project management, SHE (safety, health and environmental) and PSRA (product safety and regulatory affairs) matters. Commercial Contracts Draft, review, and negotiate a wide range of agreements (e.g., supply, procurement, services, equipment, NDAs, MTAs). Provide guidance on contractual obligations and respond to internal inquiries. Prepare agreements using Croda templates, ensuring alignment with approved business and legal guidelines. Support commercial teams by developing and delivering training on contracting processes and Croda’s contract management system (Ironclad). Compliance & Regulatory Support Support implementation and monitoring of the Croda Code of Ethics, Code of Conduct, and related policies. Perform anti bribery and corruption compliance tasks, including timely reporting to global compliance. Assist with legal research, due diligence, discovery responses, and special projects. Corporate Governance & Insurance Manage corporate governance filings to maintain entities in good standing and draft corporate resolutions. Assist with regional insurance program tasks, including claim reporting and responding to insurer inquiries. Legal Operations Help track external legal expenditures and ensure alignment with budget expectations. Partner cross functionally with commercial, operations, supply chain, marketing, SHE, PSRA, and other teams to deliver practical legal guidance. Who We’re Looking For Juris Doctor awarded from an accredited law school in the United States. Admitted to practice law in the State of New Jersey and a member of the New Jersey bar in good standing. Admissions to practice law in other jurisdictions are a plus. Minimum 5 years of legal experience (law firm, government, or in-house). Significant experience drafting and negotiating commercial agreements for the procurement or supply of goods. Preferred experience in: FDA regulatory matters Experience advising entities that are part of a global organization would be valued. Must be self-reliant and practical, with a hands‑on attitude. Knowledge of U.S. and Canadian corporate and commercial law (including employment, property, IP) as well as the ability to manage compliance programs. High degree of initiative and ability to work with minimum supervision. Good problem solver. Strong organizational skills and ability to prioritize workload. Attention to detail and high work standards. Strong interpersonal skills and team player. Excellent written and spoken communication skills, with an ability to properly articulate guidance and legal rationales for recommended guidance. Negotiating skills and commercial acumen. Financial literacy and comfort reviewing commercial terms. Proficient in using MS Office. Familiarity with contract management systems a plus. Additional Information This role is based at Croda’s Princeton, New Jersey headquarters. Employees are expected to work on-site a minimum of three days per week, subject to the demands of the NA Legal Team. This range reflects the base salary the company reasonably expects to pay for this position. Actual compensation will be determined based on factors such as geographic location, experience, education, and skill level.
