Position Summary
The Hub Project seeks a Director of Contracts & Corporate Governance to serve as the organization's senior authority on contracting, vendor relationships, and institutional compliance. This is a strategic leadership role that combines end-to-end contract ownership with responsibility for building and maintaining a governance framework that protects The Hub's legal standing, operational integrity, and mission alignment.
The Director will advise senior leadership and partner organizations on governance matters and serve as the primary liaison to legal counsel, fiscal sponsors, and key external partners. This position is essential to sustaining The Hub's ability to move rapidly, compliantly, and at scale.
Key Responsibilities
- Contracts Leadership
- Provide strategic oversight and ownership of the full contract lifecycle - from initial scoping through execution, amendment, renewal, and closeout — ensuring speed, accuracy, and compliance at every stage.
- Develop and maintain a portfolio of contract templates, standards, and playbooks that reduce cycle times and legal exposure.
- Serve as the organization's primary point of escalation for complex, high-value, or sensitive contractual matters.
- Own the relationship with in-house and outside legal counsel, directing engagement efficiently and cost-effectively.
- Design and maintain systems for tracking contract status, spend against caps, renewal timelines, and risk flags across the full portfolio; deliver regular reporting to the COO and senior leadership.
- Continuously evaluate and improve contracting processes, integrating automation and tooling where appropriate.
- Corporate Governance
- Build, maintain, and evolve The Hub's corporate governance framework, including policies, procedures, and internal controls governing organizational decision-making, vendor relationships, and regulatory compliance.
- Advise the Board of Directors and senior leadership on governance best practices, emerging regulatory requirements, and institutional risk.
- Ensure organizational compliance with applicable nonprofit law, IRS regulations, state registrations, and fiscal sponsorship agreements.
- Partner with Finance and Legal to design and implement controls that prevent conflicts of interest, protect organizational assets, and maintain donor and partner trust.
- Serve as the internal subject matter expert on governance-related questions arising from campaign operations, vendor relationships, and grant or fiscal sponsorship requirements.
- Financial Operations Partnership
- Collaborate closely with the Financial Operations team as a strategic partner on matters where contracts and finance intersect, including payment accuracy, contract spend tracking, and budget alignment.
- Provide contractual context and guidance to support the Financial Operations team in invoice review and payment processing, without direct ownership of those functions.
- Partner with Finance to ensure contract obligations are accurately reflected in budgets, forecasts, and financial reporting.
- Strategic Advisory & Special Projects
- Serve as a thought partner to the COO, providing analysis and recommendations that inform organizational decision-making.
- Lead or contribute to cross-functional initiatives, special projects, and ad hoc analysis as directed by senior leadership.
- Generate reporting and analysis to support program teams and senior leadership in decision-making across the contract and governance portfolios.
About You
- 7+ years of progressive experience in contracts management, legal operations, or corporate governance, with demonstrated growth into senior individual contributor or advisory roles.
- Deep knowledge of contract law principles, nonprofit governance structures, and regulatory compliance in a nonprofit or advocacy context.
- Demonstrated track record of building and scaling governance frameworks, compliance programs, or contracting infrastructure.
- Strategic thinker who can balance organizational urgency with legal and institutional risk.
- Highly detail-oriented with strong judgment about when to escalate and when to resolve independently.
- Exceptional written and verbal communicator, able to translate complex legal or governance concepts for non-expert audiences, including senior leadership and board members.
- Demonstrated commitment to building a just and inclusive economy and to preserving and strengthening democracy.
- Experience working across diverse teams and incorporating the perspectives of marginalized communities into operational and institutional decision-making.
Preferred Qualifications
- J.D. or paralegal certification, or equivalent experience in legal or governance operations a plus.
- Experience in nonprofit, advocacy, or political/campaign environments.
- Proficiency with GSuite, Microsoft Office, Airtable, Asana, and contract lifecycle management tools
Benefits
Comprehensive benefits package that includes 100% employer-paid health, dental, and vision insurance for employees (and their families). Employees are able to enroll in a 401k retirement plan and are eligible for a 3% automatic contribution and up to a 3% employer match on 401k contributions. Employees are also eligible for pre-tax transportation benefits. Employees will receive 120 hours of vacation time, 80 hours of health leave, up to 2 days of casual leave, and 20 hours of volunteer leave annually. Employees will also receive 13 paid holidays throughout the calendar year. Employees are eligible for 16 weeks of paid family and medical leave after 90 days of employment.
