Structured Finance Counsel | AI Infrastructure

We are partnered with an AI infrastructure company focused on developing and scaling next-generation compute, data, and financing solutions to support artificial intelligence and high-performance computing ecosystems. The organization combines technology, strategic investments, and innovative financing structures to accelerate the deployment of AI infrastructure. Key Responsibilities Lead legal execution of asset-backed structured finance transactions from inception through closing, including drafting, reviewing, and negotiating transaction documentation. Coordinate transaction workstreams with internal stakeholders, external counsel, counterparties, and service providers to ensure timely execution. Advise on financing structures, transaction risks, and legal issues arising throughout the deal lifecycle. Support corporate structuring, financing arrangements, and related commercial transactions. Draft, review, and negotiate a range of commercial agreements and corporate documents. Provide legal advice on corporate governance, regulatory compliance, and general commercial matters. Conduct legal due diligence, legal research, and prepare memoranda and internal guidance to support business objectives. #J-18808-Ljbffr Rutherford
