Corporate Paralegal

Full-Time | Hybrid Eligible

A nationally recognized law firm is seeking an experienced Corporate Paralegal to support a busy corporate and transactional practice. This role is ideal for a detail-oriented professional with 4-8 years of corporate paralegal experience who thrives in a fast-paced environment and enjoys managing entity maintenance, transactions, and corporate governance matters.

Responsibilities:

• Prepare and file entity formation, qualification, and governance documents for corporations, LLCs, partnerships, and nonprofit organizations
• Maintain corporate records, minute books, annual filings, and ownership information
• Assist attorneys with mergers and acquisitions, financings, and other corporate transactions, including closing coordination and document management
• Support due diligence efforts by organizing, reviewing, and tracking corporate records and transaction materials
• Prepare and monitor state filings, UCC filings, and other business-related registrations
• Maintain organized client files and electronic document repositories

Qualifications:

• 4-8 years of paralegal experience, preferably in a corporate or transactional legal practice
• Experience in a law firm environment
• Bachelor's degree
• Experience with DocuSign, Carta, or similar corporate recordkeeping platforms preferred
• Familiarity with legal technology and workflow tools is a plus (BlueSky)

Hybrid Schedule (2 days WFH/week)

Salary: Competitive base salary of $90,000 - $110,000 depending on experience and qualifications.
