Senior Corporate Counsel, Securities Law
Virtual Vocations Inc
To support a leading publicly traded healthcare technology organization, the remote Senior Corporate Counsel, Corporate Governance & Securities will oversee corporate governance, SEC compliance, securities reporting, and strategic legal initiatives while partnering with executive leadership in a fast-paced global environment on an 8-month contract with potential for extension. Key responsibilities Lead Board of Directors and committee governance activities, including preparation and review of materials and documentation Oversee SEC filings and manage insider trading compliance and related reporting matters Advise leadership on corporate governance, securities law, and regulatory developments while partnering with cross-functional teams Required qualifications Juris Doctor (JD) degree and active U.S. bar license 12+ years of corporate legal experience in a law firm and/or public company environment Extensive experience with SEC reporting, securities compliance, and corporate governance Strong knowledge of SEC regulations, Nasdaq listing standards, SOX, and Dodd-Frank requirements Experience supporting Board matters and subsidiary governance Virtual Vocations Inc
