Job Overview A law firm seeks a mid-level associate to join its Technology Transactions and Commercial Agreements team in Dallas, TX. The role involves structuring, negotiating, and closing complex commercial agreements related to technology and intellectual property across various industries. Duties Structure and negotiate complex commercial contracts and technology deals. Handle software licensing and cloud services agreements. Draft software, data, and IP development agreements. Negotiate channel, reseller, and distribution agreements. Manage e-commerce and AI/ML development agreements. Conduct IP due diligence in corporate transactions. Requirements 3-5 years of experience in technology transactions and commercial agreements. Experience with software licensing, cloud services, and digital infrastructure deals. Familiarity with IP due diligence in M&A and private equity transactions. Experience in AI/ML, semiconductor development, and digital assets is preferred. Education Juris Doctor from a top-tier law school. Certifications Bar admission in the relevant jurisdiction. Skills Excellent analytical, writing, and project management skills.
