Technology Transactions & Licensing Corporate Special Counsel

Locations: Boston; Los Angeles; Miami; New York; San Diego; San Francisco; Toronto; Washington, DC

Salary: $250,000–$375,000 + bonus eligibility

Direct Counsel is seeking a Corporate Special Counsel to join a top-tier Technology Transactions & Licensing practice at an Am Law 100 firm.

This is an excellent opportunity for an experienced technology transactions attorney to take on a highly client-facing role , working directly with in-house counsel, business teams, entrepreneurs, and executives on sophisticated technology and commercial matters. The attorney will have meaningful involvement across the full product and company lifecycle , advising clients not only on legal risk but also on how to align technology, licensing, and commercialization strategies with broader business objectives.

The practice handles a wide range of sophisticated transactions, including technology licensing, SaaS, services, development, distribution, marketing, and partnering agreements . The attorney will also advise on intellectual property and technology matters arising in M&A and financing transactions , including diligence.

This role offers the opportunity to build strong relationships with clients and become a trusted advisor on the commercialization of technology, data, and digital assets , while working alongside a highly regarded team on matters involving cutting-edge technologies and industries.

Qualifications:

• JD or LLM from an ABA-accredited law school

• Admitted or eligible for admission in the applicable office location

• 7+ years of experience structuring, drafting, and negotiating complex licensing and commercial agreements with an information technology focus in a law firm setting

• Knowledge of intellectual property law, including patents, trademarks, trade secrets, and copyrights

• Experience advising on IP and technology aspects of M&A and financing transactions

• Familiarity with software licensing, SaaS, cloud computing, platform technologies, artificial intelligence, cybersecurity, and data-driven business models

• Experience representing clients in industries such as life sciences, healthcare, software, fintech, artificial intelligence, cybersecurity, or sustainable energy

• Excellent negotiation, communication, problem-solving, and organizational skills

• Ability to manage multiple priorities while maintaining strong attention to detail

• Strong interpersonal skills and the ability to collaborate effectively with clients and colleagues
