Join us as a Corporate Counsel and help us do what we do best: propelling business forward.  This will be a hybrid role so working between your home office and our Burlington MA headquarters.We are seeking a strategic, business-minded lawyer to join our Corporate legal team. This role will support all of the Corporate Legal team’s workstreams, including M&A, SEC reporting, corporate governance, corporate compliance, and more. This is a great growth opportunity for an early career lawyer to gain subject matter expertise while also making an immediate impact.In this role, you will:Support all phases of M&A activity. You will structure and perform legal diligence, support drafting of definitive documentation, and manage and complete post-closing integration tasks. You will liaise with outside counsel and internal stakeholders throughout the M&A lifecycle and serve a key role in running an effective and efficient M&A process.Support preparation of SEC filings, including periodic and current reporting, proxy statement, and Section 16 filings.Support corporate governance matters, including board/committee materials and securities law compliance and disclosure matters.Support our global subsidiary governance – formations, dissolutions, foreign qualifications, restructurings, and integrations across domestic and international legal entities.Support executive compensation, equity compensation, and incentive compensation plan matters.Support legal negotiations of global real estate footprint.Build and continuously improve the tools, workflows, and automation that support this role’s work.Your background:JD from an accredited law school.Admitted to practice law in Massachusetts or licensed in the jurisdiction in which you live and work (with willingness to obtain Massachusetts admission).1-3+ years of relevant experience in the corporate department of a law firm or comparable in-house experience.Strong organizational, project management, and multitasking skills to manage multiple competing matters and deadlines.Excellent communications skills.A team player who can work collaboratively and create strong relationships with a wide variety of people at all levels across the company.Additionally, it would be beneficial if you have:M&A and/or securities law experience.Exposure to public company governance.Experience working with AI tools.Base Salary Range: $110,500 - $136,500This position is also eligible to participate in our performance-based annual corporate bonus plan. Final base compensation is determined by a number of factors, including but not limited to job-related skills, education, demonstrable experience, and allowance for future and continued salary growth.
