Legal Intern - Commercial Legal (Fall 2026)

Available Locations Austin, TX Fall Internship Dates Sept 14 - Dec 4 (12 weeks, must be available full-time/40 hrs per week) Sept 28 - Dec 18 (12 weeks, must be available full-time/40 hrs per week) About Cloudflare's Legal Team The Cloudflare Legal team is at the forefront of some of the most complex and novel legal issues in technology today. You will be directly supporting our Commercial Legal (Procurement) team, which manages Cloudflare's global procurement operations, vendor relationships, and commercial contracting strategy. This team works collaboratively to negotiate enterprise agreements, ensure compliance with procurement policies, and enable business growth while managing legal and commercial risk. You will also have opportunities to support our Sales Legal team with customer contracts. What You'll Do Commercial Contract Review & Analysis: Review and analyze vendor agreements, procurement contracts, SaaS agreements, and other commercial transactions, identifying key business and legal terms, risks, and opportunities for negotiation. Procurement Policy & Process Support: Assist in developing and updating internal procurement guidelines, vendor intake processes, and contracting playbooks to streamline commercial operations and ensure consistency across the organization. Vendor Risk Assessment: Support due diligence efforts for new and existing vendors, including reviewing vendor questionnaires, insurance certificates, compliance documentation, and conducting risk assessments for data processing, security, and business continuity. Drafting & Negotiation Support: Draft legal memos, redline summaries, contract playbook guidance, and negotiation position documents to support the Commercial Legal team in high‑value technology and services procurements. Examples of Desirable Skills, Knowledge and Experience Education: Recently graduated from, or currently enrolled as a 3L in, an ABA‑accredited law school, with a graduation date of 2026 or 2027. Commercial Mindset: A strong demonstrated interest in commercial law, technology transactions, contract negotiation, and business operations. Analytical Rigor: Excellent legal research and writing skills, with the ability to distill complex contract terms into clear, business‑friendly advice and risk assessments. Initiative: A self‑starter mentality. You are comfortable navigating ambiguity and thrive in a fast‑paced, highly collaborative environment. Ability to commit to a minimum 12‑week fall internship, starting in September. In the office 3–5 days a week in the Austin office. Bonus Points if You Have Prior experience (internships, clinics, or pre‑law career) in procurement, commercial transactions, vendor management, or in‑house legal departments at a technology company. Coursework or experience in contract law, commercial transactions, or technology/SaaS licensing. Prior experience in software development, programming, or technology product management. Familiarity with Cloudflare's products, cloud computing infrastructure, SaaS business models, and technology vendor ecosystems.
