Capital Markets Resource Attorney

Locations: Los Angeles, New York, Palo Alto, San Diego, San Francisco, Boston, Chicago, Denver, Washington, DC & Santa Monica

Direct Counsel is seeking a licensed attorney with 5+ years of experience representing issuers and investment banks in capital markets transactions to serve as a Resource Attorney supporting a premier Capital Markets practice. This is a non-billable, internal-facing role focused on enhancing business development, knowledge management, attorney efficiency, professional development, and practice innovation.

The Resource Attorney will monitor developments affecting the practice, maintain substantive resources, support client-facing thought leadership, and collaborate with internal teams to improve the delivery of legal services.

Responsibilities

• Monitor legal and regulatory developments relevant to capital markets

• Develop topics and assist with client alerts, white papers, and other external-facing resources

• Develop and maintain internal practice resources to facilitate knowledge sharing and interaction with clients and prospective clients

• Create, maintain, and update archives of work product and practice know-how

• Assist with speaking engagements, webinars, and related materials

• Maintain and update capital markets forms and templates to reflect current law, market terms, and attorney input

• Collaborate with Marketing on capital markets branding and business development initiatives

• Gather information for RFP responses and other business development opportunities

• Coordinate with Professional Development on attorney skills development and firmwide training

• Work with Information Services and Practice Innovation to evaluate and implement technology solutions that improve practice efficiency and service delivery

Requirements

• Licensed attorney with 5+ years of experience representing issuers and investment banks in capital markets transactions

• Strong understanding of corporate governance and SEC reporting requirements and related matters

• Deep knowledge of capital markets practice, with an ability and enthusiasm to stay current as the legal, regulatory, and technology landscape evolves

• Excellent written, verbal, and drafting skills

• Strong judgment, intellectual ability, interpersonal skills, and technical aptitude

• Confident and engaging presenter

• Self-starter with strong organizational and time-management skills

• Collaborative team player with exceptional attention to detail

• Familiarity with technology and life sciences industries preferred

Compensation & Benefits

The expected annual salary range is $220,000–$315,000 , with the final offer based on geographic location, experience, and skillset.
