The opportunity The Legal Assistant—Contracts/Transactions supports EY’s General Counsel’s Office (GCO) by assisting attorneys with administrative and para‑professional tasks related to contract negotiation, transaction evaluation, asset protection, corporate governance, data privacy and security. The role requires excellent written and verbal communication, strong organization, critical thinking, and initiative. Duties include reviewing, analyzing, drafting, editing documents, performing legal research, coordinating governance matters, and supporting the GCO privacy team. Key Responsibilities Assist attorneys in reviewing, editing, and negotiating non‑disclosure agreements, data processing agreements, business associate agreements, and non‑reliance letters Perform legal and non‑legal research on applicable state, federal, and international privacy laws Maintain corporate secretarial records, prepare governmental filings and respond to information requests Undertake ad‑hoc projects to facilitate transactions being evaluated by the firm Implement legal risk‑management processes to support quality delivery of legal advice and services Participate in GCO privacy team meetings and update templates, policies and contracting procedures Administer the firm’s patent portfolio and prepare copyright and trademark registrations Apply standard provisions from firm contract templates to commercial agreements Communicate firm policies and positions on negotiation of commercial agreements Communicate with firm personnel, external clients, vendors and third parties Serve as initial GCO point of contact for certain categories of requests from business teams Track agreement progress, internal approvals and status Qualifications Bachelor’s degree from an accredited four‑year college or university (top of class preferred) Strong organizational and time‑management skills Excellent written and verbal communication skills; ability to discuss complex topics articulately Outgoing personality with excellent interpersonal skills for frequent interactions with firm personnel Willingness to take initiative; highly motivated and ambitious Strong critical thinking and analytical ability; inquisitive nature Proficiency with common computer applications such as Microsoft Word, Outlook, SharePoint, Excel, PowerPoint 0–4 years of work experience (internships included) Benefits We offer a competitive compensation package with performance‑based rewards and a comprehensive Total Rewards program that includes medical and dental coverage, pension and 401(k) plans, and a wide range of paid time off options.
