Strategic Finance & Securitization Attorney | Mid-Level Associate & Counsel

§ Practice Area: Asset-Backed Securitization / Esoteric Structured Finance

§ Location: New York, NY

§ Salary: $260,000 to $420,000 Base Salary (Plus comprehensive bonus and benefits structure)

§ Schedule: Full-time, Direct-Hire, Minimum 1,850 hours annual billed target.

§ Duties:

The incoming Mid-Level Associate or Counsel will join an elite structured finance practice group, taking a leading role in executing high-stakes capital markets transactions and esoteric asset-backed securitizations. This role requires managing complex deals from inception to closing, providing sophisticated advice on structured lending and novel financing vehicles.

Core responsibilities include:

⨖ Architecting Esoteric Securitizations across non-traditional asset classes, with a strategic emphasis on whole-business, digital infrastructure, and media royalty transactions.

⨖ Drafting and Negotiating principal transaction documents, including offering credit agreements, indentures, servicing agreements, and private credit placement documentation.

⨖ Advising Financial Institutions, institutional lenders, issuers, and corporate borrowers on regulatory, capital markets, and execution strategy for novel, first-of-their-kind transactions.

⨖ Managing Transaction Diligence, coordinating cross-functional legal teams, and supervising junior associates through all phases of deal execution and closing.

⨖ Formulating Structured Private Credit Facilities that match institutional capital with emerging business frameworks.

§ Qualifications:

Candidates must bring strong academic achievements and direct, substantive transaction management experience.

⨖ Juris Doctor (J.D.) from an ABA-accredited law school with superior academic credentials.

⨖ Active Bar Membership in the state of New York, or eligibility to waive in promptly.

⨖ Three (3) to Seven+ (7+) Years of direct experience in securitization, structured finance, or general capital markets/leveraged finance at a major law firm.

⨖ Demonstrated technical mastery of financial capital markets transactions, asset-backed securitization, or structured credit.

⨖ Proven leadership capabilities required to manage complex deal workflows, advise executive clients, and oversee associate development.

§ Skills:

The following preferential qualifications will significantly enhance a candidate's profile:

⨖ Direct experience executing esoteric capital markets transactions (e.g., cell tower, data center, or music/media catalog securitizations).

⨖ Background advising both traditional underwriters/issuers and private credit funds.

⨖ Outstanding drafting, analytical, and oral negotiation skills with a demonstrated ability to simplify complex financial legal mechanics for non-legal stakeholders.
