Job Overview

A law firm seeks an Associate to join its Executive Compensation and Employee Benefits Group in New York City. The ideal candidate will bring 3-4 years of major firm experience in structuring complex employment and equity arrangements for a diverse client base.

Duties

• Structure employment agreements, equity compensation plans, deferred compensation, and change in control arrangements.
• Negotiate severance and separation packages for senior executives and private equity clients.
• Support private and public company M&A transactions, IPOs, and other sale and liquidity events.

Requirements

• 3-4 years of experience at a major law firm handling executive compensation matters.
• Admission to the New York or New Jersey bar is required.
• Experience representing private companies, start-ups, private equity firms, and senior executives.

Education

• Excellent academic credentials from an accredited law school.

Certifications

• Active bar admission in New York or New Jersey.

Skills

• Specific knowledge of Tax Code Sections 409A, 280G, and 83(b) is desirable.
• Strong understanding of corporate governance and transactional law.
