Associate Attorney for Corporate M&A in St. Louis, MO

An established firm based in St. Louis, MO with over 45 years in practice is seeking an Associate Attorney with 3-5+ years of experience to join their team onsite. This attorney will have hands-on experience with mergers and acquisitions, corporate transactions, and business law matters, advising clients on deal structuring, due diligence, and transactional compliance across a broad range of industries.

Qualifications:

• 3-5+ years of experience in corporate transactional work with a focus on mergers and acquisitions
• Demonstrated familiarity with deal structuring, purchase agreements, and due diligence processes across a range of transaction types
• Juris Doctor degree from an accredited law school and active bar admission in Missouri, or eligibility to waive in
• Strong drafting and negotiation skills developed through substantive transactional experience
• Excellent written and oral communication skills with an ability to manage multiple matters and client relationships simultaneously

Responsibilities:

• Draft, review, and negotiate transaction documents including purchase and sale agreements, merger agreements, letters of intent, and ancillary closing documents
• Conduct and coordinate legal due diligence for M&A transactions and advise clients on identified risks
• Advise business clients on corporate governance, entity formation, and general corporate matters outside of active deal work
• Collaborate with attorneys across practice groups to support complex, multi-disciplinary transactions
• Maintain active client communication throughout the deal lifecycle, ensuring timely and accurate guidance at each stage
