The person should be capable of independently running significant portions of a deal, identifying legal and business risks early, negotiating transaction documents, and helping drive integrations following acquisitions. This role requires the ability to confidently engage with senior executives, communicate complex legal and business issues clearly, and build trusted relationships with leadership throughout the transaction lifecycleJob Description ResponsibilitiesSupport all legal aspects of mergers, acquisitions, joint ventures, minority investments, and other strategic transactionsReview and negotiate non-disclosure agreementsPrepare and negotiate transaction documents, including letters of intent, purchase agreements, and ancillary transaction documentsCoordinate due diligence review and work closely with subject matter expertsPrepare materials for executive review regarding deal structure and risksEnsure compliance with regulatory matters, including assisting with the facilitation of regulatory approval processes for transactionsProvide support for integration related legal matters.Direct and manage external law firms to ensure transaction deadlines are met and completed within budgetWork on complex legal issues where analysis requires identification and evaluation of multiple factorsManage legal matters provided to a number of in-house constituents within practice area(s)Exercise independent judgment regarding legal advice with limited supervision of more senior attorneyParticipate in and may lead departmental and cross-functional working groups in identified areas of legal expertise or developmentMay manage support staff.QualificationsJD from an ABA accredited law schoolFive years of relevant legal experienceLicensed or eligible to practice in the applicable stateAbility to effectively communicate, both written and oral, with the intended audienceAbility to exercise sound judgment in a fast paced environmentAbility to exercise agility and adaptability in providing legal adviceComfortable in a rapidly changing corporate environmentProficient using MS OfficePreferred QualificationsStrong M&A experience.Experience negotiating and managing key transaction documents (E.G.; Stock Purchase Agreements (SPAs), Asset Purchase Agreements (APAs), Letters of Intent (LOIs), Due diligence and transaction execution activities)Experience in regulated industry.Experience handling material acquisitions and divestitures.Experience with post-acquisition integration and transition activities.Working ConditionsHybrid Office EnvironmentAbility to travel up to 25% of the timeCompensationThe Salary for this position generally ranges between $150,000- $200,000 annually. Please note that the salary range is a good faith estimate for this position and actual starting pay is determined by several factors including qualifications, experience, geography, work location designation (in-office, hybrid, remote) and operational needs. Salary may vary above and below the stated amounts, as permitted by applicable law.Additionally, this position is typically eligible for an Annual Bonus based on the Company Bonus Plan/Individual Performance and is at the Company’s discretion.
