Commercial Counsel

Position Summary

TeraWulf Inc. (Nasdaq: WULF) is seeking an experienced Commercial Counsel to join its Legal & Compliance team. Reporting to the Senior Commercial Counsel and ultimately the Chief Legal Officer, this role will support the Company's commercial contracting and procurement function, with primary responsibility for drafting, reviewing, and negotiating customer, vendor, supplier, and digital infrastructure-related agreements. The Commercial Counsel will partner closely with commercial, operations, engineering, finance, procurement, and other business teams to advance transactions while appropriately managing legal and business risk.

Key Responsibilities

Commercial Contracts & Negotiation
• Draft, review, and negotiate a broad range of commercial agreements, including customer, vendor and supplier agreements, master services agreements, statements of work, nondisclosure agreements, software and digital infrastructure-related agreements, lease and licensing agreements, consulting agreements, and other business contracts.
• Negotiate key contractual provisions, including pricing and payment terms, service levels, warranties, indemnities, limitations of liability, insurance, intellectual property, confidentiality, data protection, termination rights, and dispute resolution.
• Support long-term and high-value transactions involving capacity commitments, multi-site deployments, and service-level obligations.
• Work directly with internal stakeholders and external counterparties to resolve legal issues and advance transactions efficiently.

Customer and Contract Management
• Provide legal support for supplier and customer onboarding, expansions, renewals, and amendments.
• Assist with agreements supporting HPC data center development and construction, colocation, and other technology-driven services.
• Advise on service-level commitments, performance obligations, service credits, data security requirements, and risk allocation.
• Support contracts related to equipment, construction, professional services, operations, maintenance, and infrastructure development.

Business Partnership & Legal Guidance
• Partner with commercial, operations, engineering, finance, procurement, compliance, and security teams on contracting and related legal matters.
• Provide practical legal guidance that balances risk management with commercial objectives.
• Identify and escalate material legal, regulatory, and commercial risks as appropriate.

Precedent Development & Process Improvement
• Develop, maintain, and improve contract templates, playbooks, clause libraries, approval processes, and other contracting resources.
• Support contract lifecycle management systems, legal workflows, and contract tracking and reporting.
• Help improve the efficiency, consistency, and scalability of contract review and execution processes.
• Monitor contractual obligations and coordinate with business teams on renewals, amendments, and compliance matters.

Dispute & Issue Management
• Assist with the resolution of commercial disputes involving customers, vendors, contractors, and other business partners.
• Support responses to contract performance, payment, service-level, warranty, and other commercial issues.
• Coordinate with senior legal team members and external counsel when specialized advice, litigation, or arbitration support is required.
• Protect the Company's legal and business interests while supporting important commercial relationships.

Qualifications

Required
• Juris Doctor (J.D.) from an ABA-accredited law school.
• Admitted to practice law and currently in good standing with the applicable state bar.
• Minimum of 5 years of legal experience, with a strong focus on drafting, reviewing, and negotiating commercial and real estate contracts.
• In-house legal experience, law firm experience in a commercial transactions and real estate practice, or a combination of both.
• Strong knowledge of core commercial contract terms and risk allocation principles.
• Excellent drafting, negotiation, communication, and stakeholder management skills.
• Strong business judgment and the ability to provide practical, commercially oriented legal advice.
• Ability to manage multiple priorities, work independently, and operate effectively in a fast-paced, high-growth environment.
• High degree of professionalism, discretion, and integrity in handling confidential matters.

Preferred
• Experience with energy infrastructure, data center leasing and construction, technology, or other complex business-to-business transactions and negotiating the underlying agreements.
• Familiarity with contract lifecycle management systems and scalable legal workflows.
• Comfort working in a lean legal department with broad responsibilities.

Working Conditions & Physical Requirements

This position is primarily performed in a professional office environment. Extended hours may be required based on transaction activity and business needs.
