Utilize advanced tools to enhance governance practices and efficiency.Job DescriptionOverviewDrive corporate governance excellence by managing compliance initiatives and collaborating with senior leadership in a dynamic legal environment.Prepare and oversee board meeting materials, resolutions, and essential governance documentation with precision and efficiency.Maintain corporate records, organizational charts, and governance tools to ensure regulatory compliance and operational accuracy.Draft and manage documentation for corporate formations, mergers, reorganizations, and international qualifications.Collaborate with cross-functional teams on governance matters, including Tax, Finance, Treasury, and Internal Audit.Support regulatory filings and compliance processes, ensuring adherence to legal standards and transparency requirements.Utilize advanced tools, including AI, to enhance governance practices and monitor industry best practices.Conduct legal research and provide administrative support to optimize corporate legal operations.Key Responsibilities & DutiesPrepare and manage board and committee meeting materials, resolutions, and communications with stakeholders.Maintain governance tools, corporate registers, and document repositories to ensure compliance and accessibility.Draft and oversee documentation for corporate formations, mergers, reorganizations, and international qualifications.Ensure accuracy and compliance in corporate records and organizational charts.Respond to compliance requests and filings, both domestic and international, with thoroughness and efficiency.Support regulatory filings, including Hart-Scott-Rodino and FCC submissions, ensuring timely and accurate submissions.Assist in due diligence and documentation for acquisitions and corporate transactions.Implement best practices in corporate governance using advanced tools and methodologies.Provide administrative support, including scheduling, proofreading, and payment processing, to enhance operational efficiency.Job RequirementsBachelor's degree required; ABA-approved paralegal certificate preferred.Minimum of 8 years of experience in corporate legal or governance roles.Proficiency in Microsoft Office, Adobe Acrobat, and online research tools; SharePoint experience preferred.Strong organizational skills, attention to detail, and ability to manage multiple projects under deadlines.Excellent written and oral communication skills; ability to work independently and collaboratively.Flexibility to work extended hours as needed to meet business requirements.Experience with regulatory filings and compliance processes.Ability to utilize AI tools for efficiency in corporate governance tasks.Strong interpersonal skills for effective collaboration with cross-functional teams.
