Dagen is recruiting a contract Sr. Contracts Specialist for a global engineering, procurement, and construction company in the Energy Corridor.

Work in the office Monday - Thursday; WFH Friday.

Position Summary

The Corporate Paralegal provides mid-level support across corporate governance, contract administration, compliance, and transactional matters. This role is responsible for maintaining corporate records, supporting contract lifecycle management, coordinating board and officer actions, and assisting attorneys with regulatory filings, due diligence, and cross-functional projects. The ideal candidate is detail-oriented, organized, and comfortable operating in a fast-paced, multi-entity corporate environment.

Key Responsibilities

Corporate Governance

• Maintain corporate records for U.S. and foreign subsidiaries, including minute books, officer/director rosters, resolutions, and annual filings.
• Prepare and file state registrations, annual reports, certificates of status/good standing, and related corporate documents.
• Draft routine governance documents (resolutions, consents, officer certificates, incumbency certificates).
• Support board and committee meetings: agenda prep, materials assembly, logistics, and minute drafting.

Contract Management

• Review, edit, and prepare standard commercial agreements (NDAs, MSAs, SOWs, vendor agreements, amendments).
• Manage contract lifecycle processes, including intake, tracking, version control, and execution.
• Coordinate with business units to ensure compliance with contractual obligations and internal approval workflows.
• Maintain and improve contract templates and clause libraries.

Compliance & Regulatory Support

• Assist with compliance program administration, including policy updates, training coordination, and audit support.
• Support regulatory filings (state agencies, Secretary of State, industry-specific registrations).
• Conduct preliminary research on statutory and regulatory requirements.

Transactional Support

• Assist attorneys with due diligence, data room management, document collection, and closing binders for M&A, financing, and commercial transactions.
• Prepare signature packets, coordinate execution, and manage closing deliverables.
• Cross-Functional Coordination
• Serve as a liaison between Legal and internal stakeholders (Finance, HR, Operations, Procurement).
• Support process improvements, legal operations initiatives, and technology implementations (CLM, entity management tools).

Qualifications

• At least three (3) years of experience as a corporate paralegal in a law firm or in-house legal department.
• Strong understanding of corporate governance, entity management, and commercial contracts.
• Proficiency with Microsoft Oice and legal technology platforms (DocuSign, CLM systems, entity management software).
• Excellent organizational skills, attention to detail, and ability to manage multiple priorities.
• Strong written and verbal communication skills.
• Experience in energy, infrastructure, construction, or related industries.
• Experience supporting multi-entity corporate structures.
• Paralegal certificate or bachelor's degree.
