HYBRID Our client, a national AmLaw 200 firm, is seeking a seasoned Investment Funds Attorney to join its sophisticated Investment Management & Funds practice across multiple U.S. offices. This is an exceptional opportunity for a senior-level attorney to work on complex, high-value fund formation and structuring matters for a diverse client base that includes private equity sponsors, hedge fund managers, credit funds, and other alternative investment vehicles. The practice is known for its technical depth, collaborative culture, and market-leading work in the funds space.

Candidate Profile

• JD from an ABA-accredited law school with an excellent academic record
• Active Bar Admission in the relevant jurisdiction, in good standing
• Significant experience in investment fund formation, structuring, and ongoing regulatory compliance
• Deep knowledge of private equity funds, hedge funds, credit funds, and other alternative investment vehicles
• Experience advising sponsors and managers on fund governance, disclosures, and regulatory matters
• Strong familiarity with U.S. investment management regulations, including the Investment Advisers Act of 1940 and related SEC requirements
• Ability to manage complex matters independently and serve as a trusted advisor to sophisticated clients
• Excellent oral and written communication skills, sound judgment, and a client-focused approach
• Large law firm experience strongly preferred

Key Responsibilities

• Advise fund sponsors and investment managers on the formation, structuring, and launch of investment funds across multiple asset classes
• Draft and negotiate fund documentation, including private placement memoranda, limited partnership agreements, operating agreements, and subscription materials
• Counsel clients on regulatory compliance matters under federal and state securities laws
• Provide ongoing advice regarding fund operations, governance, and investor relations
• Collaborate with colleagues across tax, regulatory, and transactional teams to deliver comprehensive legal solutions
• Stay current on regulatory developments impacting the investment management industry

Compensation & Benefits

• Compensation: $300,000–$520,000, as determined by experience and market factors
