Transactional Attorney

*Position Summary*

Manley Brautigam Bankston PC is seeking a Transactional Attorney to provide legal counsel and support on a broad range of business and commercial matters. This role focuses on drafting, reviewing, and negotiating contracts; advising clients on entity formation and business transactions; ensuring compliance with applicable laws and regulations; and supporting organizational growth through strategic legal guidance. The attorney will work closely with business leaders, executives, and external parties.

*Key Responsibilities*

*Contract Drafting & Review*

* Draft, review, and negotiate a wide array of contracts, including:
* Purchase and sale agreements and related closing documents
* Buy-Sell Agreements
* Operating Agreements
* Leases
* Service agreements
* Non-disclosure agreements (NDAs)
* Licensing agreements
* Vendor/supplier agreements
* Professional services contracts
* Ensure accuracy, enforceability, and alignment with organizational policies and strategic goals.

*Transactional Support*

* Lead or assist with all phases of transactional matters, including due diligence, structuring, negotiation, and closing.
* Analyze and advise on corporate governance issues, business risks, and legal obligations.
* Support mergers, acquisitions, and other business transactions by preparing disclosure schedules, resolutions, and closing documents.

*Legal Research & Compliance*

* Conduct legal research on state, federal, and industry-specific regulatory requirements.
* Identify and advise on legal risks and mitigation strategies.
* Ensure compliance with relevant laws, including corporate, commercial, and financial regulations.

*Client/Stakeholder Advisory*

* Serve as a legal advisor to internal and external clients, providing clear, actionable guidance.
* Collaborate with executives and department leaders to develop solutions to meet business objectives.
* Communicate complex legal concepts in a clear and practical manner.

*Document Management & Recordkeeping*

* Maintain organized and up-to-date contract files, transactional records, and corporate documentation.
* Assist with policy development and internal procedures related to transactional matters.

*Professional Development & Ethics*

* Stay current on legal trends, regulatory changes, and industry best practices.
* Uphold the highest standards of professionalism, ethics, and confidentiality.

*Qualifications*

*Education & Licensing*

* Juris Doctor (JD) from an accredited law school.
* Active license to practice law in the applicable jurisdiction.
* Strong academic background with a focus in business, corporate, commercial, or related legal areas preferred.

*Experience*

* 2–5+ years of experience in transactional law
* Demonstrated experience drafting and negotiating commercial agreements.
* Background in corporate, real estate, finance, or business law.
* A tax background is advantageous.

Pay: $95,000.00 - $142,000.00 per year
