A highly regarded boutique law firm in Washington, DC is seeking an Associate Attorney to join its growing CFIUS and National Security Practice Group.

About the Role

This role offers the opportunity to advise sophisticated domestic and international clients on complex matters involving foreign investment, national security reviews, regulatory compliance, and cross-border transactions. The ideal candidate will have experience supporting matters before the Committee on Foreign Investment in the United States (CFIUS) and advising clients on national security, foreign ownership, control and influence (FOCI), export controls, sanctions, or related regulatory issues.

Responsibilities

• Advise clients regarding CFIUS jurisdiction, risk assessments, filing requirements, and mitigation obligations.
• Support foreign investment transactions involving mergers, acquisitions, joint ventures, and strategic investments.
• Draft and prepare CFIUS declarations, notices, responses to government inquiries, and mitigation-related documentation.
• Assist clients with national security compliance matters, including FOCI, industrial security, and government contracting considerations.
• Conduct legal research and provide guidance regarding export controls, sanctions regulations, and related national security frameworks.
• Participate in client counseling, business development initiatives, and practice growth efforts.
• Collaborate with attorneys across regulatory, international trade, government contracts, and corporate practice areas.

Qualifications

• J.D. from an accredited law school.
• Active member of the DC bar in good standing (or eligible to waive)
• 2+ years of experience in CFIUS, national security, international trade, or a related regulatory practice.
• Experience with foreign investment reviews, national security compliance, export controls, sanctions, or FOCI matters preferred.
• Strong legal research, drafting, analytical, and communication skills.
• Ability to manage multiple matters in a fast-paced client environment.
• Prior law firm, government, or in-house experience supporting national security matters is a plus.
