Your actual pay will be based on your skills and experience — talk with your recruiter to learn more.Base pay range$105.00/hr - $105.00/hrJob Title: Legal Counsel AttorneyContract Duration: 3 MonthsPay Rate: up to $105/hrWork Type: Open to Remote CandidatesLocation: New York City, NYCandidate Value Proposition:The successful candidate will have the opportunity to work within one of the Top 5 Banking Institutions in Canada.You'll get to work with and learn from diverse industry leaders all over the globe, who have hailed from top technology companies around the world.Typical Day in Role:Advises on bespoke issues as part of contractual negotiations, including IP protections, cybersecurity, data privacy, artificial intelligence, and regulatory compliance in the context of financial services.Supports various business lines and corporate functions with the review and negotiation of non-disclosure agreements.Assists with the risk review and diligence of third-party suppliers, including providing advice on regulatory developments and analysis of contractual provisions in commercial contracts.Supports U.S. businesses with the drafting and structuring of intragroup agreements between the Bank and its affiliates.Works closely with cross-functional teams (e.g., Global Procurement Services, Third Party Risk Management, and Compliance) and senior management, providing legal guidance on matters critical to the Bank's operations and strategic initiatives.Performs legal research as necessary and assists with the continuous improvements of the Bank's legal template and sample clause libraries, including negotiation guidelines, commercial playbooks, and templates to be leveraged by internal teams.Maintains an awareness of and monitors the regulatory environment for emerging legislation and policy statements, along with relevant trends and industry best practices applicable to the Bank's operations.Contributes to efficient and effective relationships with outside counsel and manages legal costs and invoices.Understands how the Bank's risk appetite and risk culture should be considered in day-to-day activities and decisions.Demonstrates a proactive approach to developing competency in unfamiliar practice areas.Pursues effective adherence to client's Values and its Code of Conduct, while ensuring the adequacy, adherence to, and effectiveness of business controls to meet obligations with respect to operational, compliance, sanctions, and anti-money laundering (AML), and conduct risk.Candidate Requirements/Must-Have Skills:10 years experience as a licensed attorney in good standing admitted or otherwise authorized to practice law in the state of New York.Deep understanding of vendor agreements, licensing agreements, process services agreements, SaaS agreements, engagement letters, non-disclosure agreements, market data agreements, and other similar documents.Working knowledge of software licensing, intellectual property, data privacy, artificial intelligence, and cybersecurity considerations in third-party agreements within the financial services industry.Nice to Have Skills:Prior Financial Institution ExperienceSoft Skills:Excellent analytical, problem-solving, and decision-making skills.Strong communication and stakeholder management abilities.Education:Licensed Attorney for the state of New YorkNote:The ideal candidate would work autonomously but thrive in a team-oriented and collaborative environment.Exhibiting excellence in both drafting and negotiating market-standard documentation, providing practical advice and legal assessment to internal clients.Demonstrates confidence and expertise in advising and providing business-oriented and actionable recommendations for clients, particularly in navigating gray areas.
