Associate Attorney Business Transactional

Job Overview A company seeks an Associate Attorney, Business Transactional in Kennesaw, GA. This role involves supporting business growth through corporate and transactional practices, focusing on commercial contracting, acquisition support, and entity governance. The attorney will be the primary contact for business teams on contract matters, managing agreements from intake to execution. Duties Draft, review, and negotiate commercial agreements, including NDAs, master service agreements, and vendor terms. Partner with sales and business development teams on customer agreements and terms of sale. Manage channel and intermediary agreements, including distributor and reseller contracts. Handle pre-deal agreements and operational documents like letters of intent and term sheets. Negotiate human resources agreements, including employment and independent contractor agreements. Advise on contract structure, risk allocation, and data protection obligations. Maintain and update the template library and contracting playbook. Support mergers, acquisitions, and corporate transactions from diligence to closing. Assist with real property matters, including leases and landlord consents. Maintain corporate records and coordinate multi-state corporate filings. Act as a legal contact for various business departments, resolving routine inquiries. Manage outside counsel on specific matters and develop self-service tools for business teams. Requirements 2-7 years of substantive business transactional experience. Experience in commercial contracting, entity formation, and governance. Ability to draft and negotiate agreements independently. Familiarity with M&A diligence and closing mechanics. Experience with entity governance and multi-state filings. Excellent communication skills and ability to provide practical advice. Comfortable managing a high volume of matters independently. Able to work a hybrid schedule from the Kennesaw, GA office. Education J.D. from an accredited law school. Certifications Active membership in good standing in the State Bar of Georgia or eligibility for admission. Skills Proficient in using a computer and related equipment.
