Transactional Legal Secretary (Corporate/M&A)
Location: Houston, Texas - Greenway Plaza
Schedule: Full-time; primarily in-office (5 days/week preferred; 1 day remote flexibility in line with firm policy)
Overview
A large, sophisticated law firm is seeking an experienced Transactional Legal Secretary to support a busy corporate partner and team. This role is heavily focused on corporate transactional matters , with some litigation support (e-filing) . The ideal candidate is highly organized, detail-oriented, and thrives in a fast-paced, Big Law environment.
Key Responsibilities
- Provide comprehensive administrative and legal support for corporate and M&A transactions
- Prepare and file documents with Secretary of State offices (formations, amendments, and related filings)
- Assist with entity formation documents , including certificates of formation and organizational materials
- Coordinate and maintain closing checklists ; prepare and assemble closing binders (physical and electronic)
- Conduct UCC searches and assist with related filings
- Draft, format, and proofread transactional documents and correspondence
- Calendar management including deadlines, closings, and meetings
- Handle e-filing for litigation matters as needed
- Notarize documents , including deeds of trust and other legal instruments
- Maintain and update spreadsheets and tracking logs for deals and filings
- Communicate professionally with clients, internal teams, and external stakeholders
- Organize and coordinate meetings, closings, and firm-related activities
Additional Responsibilities
- Support partners involvement in non-profit organizations and Chambers activities , including:
- Preparing and sending invitations
- Coordinating and organizing Board of Directors meetings
- Managing logistics and communications for events
Qualifications
- 3+ years of experience as a corporate/transactional legal secretary , preferably within a large law firm (Big Law)
- Strong familiarity with M&A processes and corporate filings
- Experience with Secretary of State filings , UCC searches , and closing documentation
- Working knowledge of litigation e-filing procedures
- Notary Public (or willingness to obtain promptly)
- Advanced proficiency with Microsoft Office (Word, Excel, Outlook)
- Exceptional organizational skills and attention to detail
- Strong written and verbal communication skills
- Ability to manage multiple priorities and work independently in a deadline-driven environment
